总则
General Provisions
为了加强对旅行社的管理，保障旅游者和旅行社的合法权益，维护旅游市场秩序，促进旅游业的健康发展，制定本条例。
These Regulations are formulated to strengthen the management of travel agencies, protect the legitimate rights and interests of tourists and travel agencies, maintain the order of the tourism market, and promote the healthy development of the tourism industry.
本条例适用于中华人民共和国境内旅行社的设立及经营活动。
These Regulations apply to the establishment and operation of travel agencies within the territory of the People's Republic of China.
本条例所称旅行社，是指从事招徕、组织、接待旅游者等活动，为旅游者提供相关旅游服务，开展国内旅游业务、入境旅游业务或者出境旅游业务的企业法人。
For the purposes of these Regulations, a "travel agency" refers to an enterprise legal person that engages in activities such as soliciting, organizing, and receiving tourists, providing related tourism services to tourists, and conducting domestic tourism business, inbound tourism business, or outbound tourism business.
国务院旅游行政主管部门负责全国旅行社的监督管理工作。
The competent tourism administrative department of the State Council shall be responsible for the supervision and management of travel agencies nationwide.
县级以上地方人民政府管理旅游工作的部门按照职责负责本行政区域内旅行社的监督管理工作。
The departments in charge of tourism work of local people's governments at or above the county level shall, in accordance with their duties, be responsible for the supervision and management of travel agencies within their respective administrative regions.
县级以上各级人民政府工商、价格、商务、外汇等有关部门，应当按照职责分工，依法对旅行社进行监督管理。
The relevant departments such as industry and commerce, price, commerce, and foreign exchange of the people's governments at or above the county level shall, in accordance with their respective division of duties, supervise and manage travel agencies according to law.
旅行社在经营活动中应当遵循自愿、平等、公平、诚信的原则，提高服务质量，维护旅游者的合法权益。
Travel agencies shall, in their business activities, follow the principles of voluntariness, equality, fairness, and good faith, improve service quality, and protect the legitimate rights and interests of tourists.
旅行社行业组织应当按照章程为旅行社提供服务，发挥协调和自律作用，引导旅行社合法、公平竞争和诚信经营。
Travel agency industry organizations shall, in accordance with their articles of association, provide services to travel agencies, play a coordinating and self-regulatory role, and guide travel agencies to operate lawfully, compete fairly, and act in good faith.
旅行社的设立
Establishment of Travel Agencies
申请经营国内旅游业务和入境旅游业务的，应当取得企业法人资格，并且注册资本不少于30万元。
To apply for operating domestic travel business and inbound travel business, an applicant must obtain the status of a legal person enterprise and have a registered capital of not less than 300,000 yuan.
申请经营国内旅游业务和入境旅游业务的，应当向所在地省、自治区、直辖市旅游行政管理部门或者其委托的设区的市级旅游行政管理部门提出申请，并提交符合本条例第六条规定的相关证明文件。受理申请的旅游行政管理部门应当自受理申请之日起20个工作日内作出许可或者不予许可的决定。予以许可的，向申请人颁发旅行社业务经营许可证；不予许可的，书面通知申请人并说明理由。
To apply for operating domestic travel business and inbound travel business, an applicant shall submit an application to the tourism administrative department of the province, autonomous region, or municipality directly under the Central Government where it is located, or to the tourism administrative department of a city divided into districts authorized by the former, and provide relevant certification documents that comply with the provisions of Article 6 of these Regulations. The tourism administrative department that accepts the application shall make a decision to grant or deny the permit within 20 working days from the date of accepting the application. If the permit is granted, a travel agency business operation license shall be issued to the applicant; if the permit is denied, the applicant shall be notified in writing with reasons stated.
旅行社取得经营许可满两年，且未因侵害旅游者合法权益受到行政机关罚款以上处罚的，可以申请经营出境旅游业务。
A travel agency that has obtained the operation license for two years and has not been subject to a penalty of a fine or more by an administrative authority for infringing upon the legitimate rights and interests of tourists may apply to operate outbound travel business.
申请经营出境旅游业务的，应当向国务院旅游行政主管部门或者其委托的省、自治区、直辖市旅游行政管理部门提出申请，受理申请的旅游行政管理部门应当自受理申请之日起20个工作日内作出许可或者不予许可的决定。予以许可的，向申请人换发旅行社业务经营许可证；不予许可的，书面通知申请人并说明理由。
To apply for operating outbound travel business, an applicant shall submit an application to the tourism administrative department of the State Council or to the tourism administrative department of the province, autonomous region, or municipality directly under the Central Government authorized by the former. The tourism administrative department that accepts the application shall make a decision to grant or deny the permit within 20 working days from the date of accepting the application. If the permit is granted, a new travel agency business operation license shall be issued to the applicant; if the permit is denied, the applicant shall be notified in writing with reasons stated.
旅行社设立分社的，应当向分社所在地的工商行政管理部门办理设立登记，并自设立登记之日起3个工作日内向分社所在地的旅游行政管理部门备案。
If a travel agency establishes a branch, it shall register the establishment with the administrative department for industry and commerce at the location of the branch, and file a record with the tourism administrative department at the location of the branch within 3 working days from the date of establishment registration.
旅行社分社的设立不受地域限制。分社的经营范围不得超出设立分社的旅行社的经营范围。
The establishment of a travel agency branch is not subject to geographical restrictions. The business scope of a branch shall not exceed the business scope of the travel agency that established the branch.
旅行社设立专门招徕旅游者、提供旅游咨询的服务网点(以下简称旅行社服务网点)应当依法向工商行政管理部门办理设立登记手续，并向所在地的旅游行政管理部门备案。
If a travel agency establishes a service outlet specifically for soliciting tourists and providing travel consultation (hereinafter referred to as a travel agency service outlet), it shall register the establishment with the administrative department for industry and commerce in accordance with the law, and file a record with the local tourism administrative department.
旅行社服务网点应当接受旅行社的统一管理，不得从事招徕、咨询以外的活动。
Travel agency service outlets shall accept unified management by the travel agency and shall not engage in activities other than solicitation and consultation.
旅行社变更名称、经营场所、法定代表人等登记事项或者终止经营的，应当到工商行政管理部门办理相应的变更登记或者注销登记，并在登记办理完毕之日起10个工作日内，向原许可的旅游行政管理部门备案，换领或者交回旅行社业务经营许可证。
If a travel agency changes its name, business premises, legal representative, or other registered items, or terminates its operations, it shall handle the corresponding change registration or cancellation registration with the administrative department for industry and commerce, and within 10 working days from the date of completion of the registration, file a record with the original licensing tourism administrative department, and exchange or return the travel agency business operation license.
旅行社应当自取得旅行社业务经营许可证之日起3个工作日内，在国务院旅游行政主管部门指定的银行开设专门的质量保证金账户，存入质量保证金，或者向作出许可的旅游行政管理部门提交依法取得的担保额度不低于相应质量保证金数额的银行担保。
A travel agency shall, within 3 working days from the date of obtaining the travel agency business license, open a dedicated qualitydeposit account at a bank designated by the tourism administrative department of the State Council, deposit qualitydeposit, or submit to the tourism administrative department that issued the license a bank guarantee with a guaranteed amount not less than the corresponding qualitydeposit amount obtained in accordance with the law.
经营国内旅游业务和入境旅游业务的旅行社，应当存入质量保证金20万元；经营出境旅游业务的旅行社，应当增存质量保证金120万元。
A travel agency operating domestic tourism business and inbound tourism business shall deposit a qualitydeposit of 200,000 yuan; a travel agency operating outbound tourism business shall additionally deposit a qualitydeposit of 1.2 million yuan.
质量保证金的利息属于旅行社所有。
The interest on the qualitydeposit belongs to the travel agency.
旅行社每设立一个经营国内旅游业务和入境旅游业务的分社，应当向其质量保证金账户增存5万元；每设立一个经营出境旅游业务的分社，应当向其质量保证金账户增存30万元。
For each branch office established to operate domestic tourism business and inbound tourism business, the travel agency shall additionally deposit 50,000 yuan into its qualitydeposit account; for each branch office established to operate outbound tourism business, the travel agency shall additionally deposit 300,000 yuan into its qualitydeposit account.
有下列情形之一的，旅游行政管理部门可以使用旅行社的质量保证金：
The tourism administrative department may use the travel agency's qualitydeposit under any of the following circumstances:
(一)旅行社违反旅游合同约定，侵害旅游者合法权益，经旅游行政管理部门查证属实的；
(1) The travel agency violates the terms of the tourism contract, infringes upon the legitimate rights and interests of tourists, and the facts have been verified by the tourism administrative department;
(二)旅行社因解散、破产或者其他原因造成旅游者预交旅游费用损失的。
(2) The travel agency causes losses of prepaid tourism expenses by tourists due to dissolution, bankruptcy, or other reasons.
人民法院判决、裁定及其他生效法律文书认定旅行社损害旅游者合法权益，旅行社拒绝或者无力赔偿的，人民法院可以从旅行社的质量保证金账户上划拨赔偿款。
If a judgment, ruling, or other effective legal document of a people's court determines that a travel agency has harmed the legitimate rights and interests of tourists, and the travel agency refuses or is unable to compensate, the people's court may transfer the compensation amount from the travel agency's qualitydeposit account.
旅行社自交纳或者补足质量保证金之日起三年内未因侵害旅游者合法权益受到行政机关罚款以上处罚的，旅游行政管理部门应当将旅行社质量保证金的交存数额降低50%，并向社会公告。旅行社可凭省、自治区、直辖市旅游行政管理部门出具的凭证减少其质量保证金。
If a travel agency has not been subject to an administrative penalty of a fine or more for infringing upon the legitimate rights and interests of tourists within three years from the date of depositing or replenishing the qualitydeposit, the tourism administrative department shall reduce the deposit amount of the travel agency's qualitydeposit by 50% and make a public announcement. The travel agency may reduce its qualitydeposit by presenting the certificate issued by the tourism administrative department of the province, autonomous region, or municipality directly under the Central Government.
旅行社在旅游行政管理部门使用质量保证金赔偿旅游者的损失，或者依法减少质量保证金后，因侵害旅游者合法权益受到行政机关罚款以上处罚的，应当在收到旅游行政管理部门补交质量保证金的通知之日起5个工作日内补足质量保证金。
After the tourism administrative department uses the qualitydeposit to compensate tourists for losses, or after the qualitydeposit is reduced in accordance with the law, if the travel agency is subject to an administrative penalty of a fine or more for infringing upon the legitimate rights and interests of tourists, it shall replenish the qualitydeposit within 5 working days from the date of receiving the notice from the tourism administrative department to replenish the qualitydeposit.
旅行社不再从事旅游业务的，凭旅游行政管理部门出具的凭证，向银行取回质量保证金。
If a travel agency no longer engages in tourism business, it may retrieve the qualitydeposit from the bank by presenting the certificate issued by the tourism administrative department.
质量保证金存缴、使用的具体管理办法由国务院旅游行政主管部门和国务院财政部门会同有关部门另行制定。
The specific administrative measures for the deposit and use of qualitydeposit shall be separately formulated by the tourism administrative department of the State Council and the financial department of the State Council in conjunction with relevant departments.
外商投资旅行社
Foreign-Invested Travel Agencies
外商投资旅行社适用本章规定；本章没有规定的，适用本条例其他有关规定。
Foreign-invested travel agencies shall be governed by the provisions of this Chapter; where this Chapter has no provisions, other relevant provisions of these Regulations shall apply.
外商投资企业申请经营旅行社业务，应当向所在地省、自治区、直辖市旅游行政管理部门提出申请，并提交符合本条例第六条规定条件的相关证明文件。省、自治区、直辖市旅游行政管理部门应当自受理申请之日起30个工作日内审查完毕。予以许可的，颁发旅行社业务经营许可证；不予许可的，书面通知申请人并说明理由。
A foreign-invested enterprise applying to operate travel agency business shall submit an application to the tourism administrative department of the province, autonomous region, or municipality directly under the Central Government where it is located, and submit relevant certification documents that meet the conditions specified in Article 6 of these Regulations. The tourism administrative department of the province, autonomous region, or municipality directly under the Central Government shall complete the review within 30 working days from the date of accepting the application. If approval is granted, a travel agency business operation permit shall be issued; if not, the applicant shall be notified in writing with reasons stated.
设立外商投资旅行社，还应当遵守有关外商投资的法律、法规。
The establishment of a foreign-invested travel agency shall also comply with relevant laws and regulations on foreign investment.
外商投资旅行社不得经营中国内地居民出国旅游业务以及赴香港特别行政区、澳门特别行政区和台湾地区旅游的业务，但是国务院决定或者我国签署的自由贸易协定和内地与香港、澳门关于建立更紧密经贸关系的安排另有规定的除外。
Foreign-invested travel agencies shall not operate outbound tourism business for Chinese mainland residents or tourism business to Hong Kong Special Administrative Region, Macao Special Administrative Region, and Taiwan region, unless otherwise provided by decisions of the State Council or free trade agreements signed by China, or the Closer Economic Partnership Arrangements between the mainland and Hong Kong and Macao.
旅行社经营
Travel Agency Operations
旅行社向旅游者提供的旅游服务信息必须真实可靠，不得作虚假宣传。
Travel service information provided by travel agencies to tourists must be true and reliable, and false advertising is prohibited.
经营出境旅游业务的旅行社不得组织旅游者到国务院旅游行政主管部门公布的中国公民出境旅游目的地之外的国家和地区旅游。
Travel agencies operating outbound tourism business shall not organize tourists to travel to countries or regions other than the outbound tourism destinations for Chinese citizens published by the tourism administrative department of the State Council.
旅行社为旅游者安排或者介绍的旅游活动不得含有违反有关法律、法规规定的内容。
Travel agencies shall not arrange or introduce tourism activities that contain content violating relevant laws and regulations.
旅行社不得以低于旅游成本的报价招徕旅游者。未经旅游者同意，旅行社不得在旅游合同约定之外提供其他有偿服务。
Travel agencies shall not solicit tourists with quotations below the cost of tourism. Without the consent of tourists, travel agencies shall not provide other paid services beyond the tourism contract.
旅行社为旅游者提供服务，应当与旅游者签订旅游合同并载明下列事项：
When providing services to tourists, travel agencies shall sign a tourism contract with the tourists and specify the following items:
(一)旅行社的名称及其经营范围、地址、联系电话和旅行社业务经营许可证编号；
(1) The name, business scope, address, contact telephone number, and travel agency business license number of the travel agency;
(二)旅行社经办人的姓名、联系电话；
(2) The name and contact telephone number of the travel agency's agent;
(三)签约地点和日期；
(3) The place and date of signing;
(四)旅游行程的出发地、途经地和目的地；
(4) The departure place, transit places, and destination of the tour itinerary;
(五)旅游行程中交通、住宿、餐饮服务安排及其标准；
(5) The arrangement and standards of transportation, accommodation, and catering services during the tour itinerary;
(六)旅行社统一安排的游览项目的具体内容及时间；
(6) The specific content and time of the sightseeing items uniformly arranged by the travel agency;
(七)旅游者自由活动的时间和次数；
(7) The time and frequency of free activities for tourists;
(八)旅游者应当交纳的旅游费用及交纳方式；
(8) The travel expenses to be paid by the tourist and the method of payment;
(九)旅行社安排的购物次数、停留时间及购物场所的名称；
(9) The number of shopping stops arranged by the travel agency, the duration of each stop, and the names of the shopping venues;
(十)需要旅游者另行付费的游览项目及价格；
(10) The sightseeing items that require additional payment by the tourist and their prices;
(十一)解除或者变更合同的条件和提前通知的期限；
(11) The conditions for rescission or modification of the contract and the period for advance notice;
(十二)违反合同的纠纷解决机制及应当承担的责任；
(12) The dispute resolution mechanism for breach of contract and the liabilities to be borne;
(十三)旅游服务监督、投诉电话；
(13) The tourism service supervision and complaint hotline;
(十四)双方协商一致的其他内容。
(14) Other contents agreed upon by both parties through consultation.
旅行社在与旅游者签订旅游合同时，应当对旅游合同的具体内容作出真实、准确、完整的说明。
When entering into a travel contract with a tourist, a travel agency shall provide a true, accurate, and complete explanation of the specific contents of the travel contract.
旅行社和旅游者签订的旅游合同约定不明确或者对格式条款的理解发生争议的，应当按照通常理解予以解释；对格式条款有两种以上解释的，应当作出有利于旅游者的解释；格式条款和非格式条款不一致的，应当采用非格式条款。
If the travel contract entered into by the travel agency and the tourist is unclear or a dispute arises over the understanding of standard terms, the contract shall be interpreted according to common understanding; if there are two or more interpretations of the standard terms, the interpretation favorable to the tourist shall prevail; if the standard terms are inconsistent with the non-standard terms, the non-standard terms shall prevail.
旅行社组织中国内地居民出境旅游的，应当为旅游团队安排领队全程陪同。
When a travel agency organizes outbound travel for mainland Chinese residents, it shall arrange for a tour leader to accompany the tour group throughout the entire journey.
旅行社为接待旅游者委派的导游人员，应当持有国家规定的导游证。
Tour guides assigned by travel agencies to receive tourists shall hold a tour guide certificate as prescribed by the state.
取得出境旅游业务经营许可的旅行社为组织旅游者出境旅游委派的领队，应当取得导游证，具有相应的学历、语言能力和旅游从业经历，并与委派其从事领队业务的旅行社订立劳动合同。旅行社应当将本单位领队名单报所在地设区的市级旅游行政管理部门备案。
Tour leaders assigned by travel agencies licensed for outbound travel to organize tourists for outbound travel shall obtain a tour guide certificate, have corresponding educational background, language ability, and tourism work experience, and conclude a labor contract with the travel agency that assigns them to engage in tour leader business. Travel agencies shall report the list of their tour leaders to the local tourism administrative department at the city with districts level for record.
旅行社聘用导游人员、领队人员应当依法签订劳动合同，并向其支付不低于当地最低工资标准的报酬。
Travel agencies that employ tour guides and tour leaders shall conclude labor contracts with them in accordance with the law and pay them remuneration not lower than the local minimum wage standard.
旅行社及其委派的导游人员和领队人员不得有下列行为：
Travel agencies and their assigned tour guides and tour leaders shall not engage in the following acts:
(一)拒绝履行旅游合同约定的义务；
(1) Refusing to perform the obligations agreed in the tourism contract;
(二)非因不可抗力改变旅游合同安排的行程；
(2) Changing the itinerary arranged in the tourism contract without force majeure;
(三)欺骗、胁迫旅游者购物或者参加需要另行付费的游览项目。
(3) Deceiving or coercing tourists into shopping or participating in sightseeing projects that require additional payment.
旅行社不得要求导游人员和领队人员接待不支付接待和服务费用或者支付的费用低于接待和服务成本的旅游团队，不得要求导游人员和领队人员承担接待旅游团队的相关费用。
Travel agencies shall not require tour guides and tour leaders to receive tour groups that do not pay reception and service fees or pay fees lower than the reception and service costs, nor shall they require tour guides and tour leaders to bear the relevant costs of receiving tour groups.
旅行社违反旅游合同约定，造成旅游者合法权益受到损害的，应当采取必要的补救措施，并及时报告旅游行政管理部门。
If a travel agency violates the tourism contract and causes damage to the legitimate rights and interests of tourists, it shall take necessary remedial measures and promptly report to the tourism administrative department.
旅行社需要对旅游业务作出委托的，应当委托给具有相应资质的旅行社，征得旅游者的同意，并与接受委托的旅行社就接待旅游者的事宜签订委托合同，确定接待旅游者的各项服务安排及其标准，约定双方的权利、义务。
If a travel agency needs to entrust tourism business to another party, it shall entrust it to a travel agency with corresponding qualifications, obtain the consent of the tourists, and conclude an entrustment contract with the entrusted travel agency regarding the reception of tourists, specifying the various service arrangements and standards for receiving tourists, and stipulating the rights and obligations of both parties.
旅行社将旅游业务委托给其他旅行社的，应当向接受委托的旅行社支付不低于接待和服务成本的费用；接受委托的旅行社不得接待不支付或者不足额支付接待和服务费用的旅游团队。
Where a travel agency entrusts tourism business to another travel agency, it shall pay the entrusted travel agency a fee not lower than the cost of reception and service; the entrusted travel agency shall not receive a tour group that does not pay or does not pay in full the reception and service fees.
接受委托的旅行社违约，造成旅游者合法权益受到损害的，作出委托的旅行社应当承担相应的赔偿责任。作出委托的旅行社赔偿后，可以向接受委托的旅行社追偿。
If the entrusted travel agency breaches the contract, causing damage to the legitimate rights and interests of tourists, the entrusting travel agency shall bear corresponding compensation liability. After compensation, the entrusting travel agency may seek recourse from the entrusted travel agency.
接受委托的旅行社故意或者重大过失造成旅游者合法权益损害的，应当承担连带责任。
If the entrusted travel agency intentionally or through gross negligence causes damage to the legitimate rights and interests of tourists, it shall bear joint and several liability.
旅行社应当投保旅行社责任险。旅行社责任险的具体方案由国务院旅游行政主管部门会同国务院保险监督管理机构另行制定。
Travel agencies shall purchase travel agency liability insurance. The specific plan for travel agency liability insurance shall be separately formulated by the competent department of tourism administration of the State Council jointly with the insurance regulatory authority of the State Council.
旅行社对可能危及旅游者人身、财产安全的事项，应当向旅游者作出真实的说明和明确的警示，并采取防止危害发生的必要措施。
Travel agencies shall provide truthful explanations and clear warnings to tourists regarding matters that may endanger their personal or property safety, and take necessary measures to prevent the occurrence of harm.
发生危及旅游者人身安全的情形的，旅行社及其委派的导游人员、领队人员应当采取必要的处置措施并及时报告旅游行政管理部门；在境外发生的，还应当及时报告中华人民共和国驻该国使领馆、相关驻外机构、当地警方。
Where a situation endangering the personal safety of tourists occurs, the travel agency and its assigned tour guides and tour leaders shall take necessary handling measures and promptly report to the tourism administrative department; if it occurs abroad, they shall also promptly report to the embassy or consulate of the People's Republic of China in that country, relevant overseas institutions, and local police.
旅游者在境外滞留不归的，旅行社委派的领队人员应当及时向旅行社和中华人民共和国驻该国使领馆、相关驻外机构报告。旅行社接到报告后应当及时向旅游行政管理部门和公安机关报告，并协助提供非法滞留者的信息。
If a tourist overstays abroad without returning, the tour leader assigned by the travel agency shall promptly report to the travel agency and the embassy or consulate of the People's Republic of China in that country, and relevant overseas institutions. Upon receiving the report, the travel agency shall promptly report to the tourism administrative department and the public security authority, and assist in providing information on the illegal overstayer.
旅行社接待入境旅游发生旅游者非法滞留我国境内的，应当及时向旅游行政管理部门、公安机关和外事部门报告，并协助提供非法滞留者的信息。
If a travel agency receives inbound tourism and a tourist illegally overstays within China, it shall promptly report to the tourism administrative department, the public security authority, and the foreign affairs department, and assist in providing information on the illegal overstayer.
监督检查
Supervision and Inspection
旅游、工商、价格、商务、外汇等有关部门应当依法加强对旅行社的监督管理，发现违法行为，应当及时予以处理。
The tourism, industry and commerce, price, commerce, foreign exchange and other relevant departments shall strengthen supervision and management over travel agencies according to law, and promptly handle any illegal acts discovered.
旅游、工商、价格等行政管理部门应当及时向社会公告监督检查的情况。公告的内容包括旅行社业务经营许可证的颁发、变更、吊销、注销情况，旅行社的违法经营行为以及旅行社的诚信记录、旅游者投诉信息等。
The administrative departments of tourism, industry and commerce, price, and others shall promptly announce to the public the situation of supervision and inspection. The content of the announcement includes the issuance, alteration, revocation, and cancellation of travel agency business operation permits, the illegal business activities of travel agencies, as well as the integrity records of travel agencies, tourist complaint information, etc.
旅行社损害旅游者合法权益的，旅游者可以向旅游行政管理部门、工商行政管理部门、价格主管部门、商务主管部门或者外汇管理部门投诉，接到投诉的部门应当按照其职责权限及时调查处理，并将调查处理的有关情况告知旅游者。
If a travel agency damages the legitimate rights and interests of tourists, the tourists may file complaints with the administrative department of tourism, the administrative department of industry and commerce, the competent department of price, the competent department of commerce, or the foreign exchange control department. The department receiving the complaint shall promptly investigate and handle the matter according to its duties and authority, and inform the tourists of the relevant investigation and handling situation.
旅行社及其分社应当接受旅游行政管理部门对其旅游合同、服务质量、旅游安全、财务账簿等情况的监督检查，并按照国家有关规定向旅游行政管理部门报送经营和财务信息等统计资料。
Travel agencies and their branches shall accept supervision and inspection by the administrative department of tourism on their tourism contracts, service quality, tourism safety, financial account books, etc., and shall submit statistical data such as operational and financial information to the administrative department of tourism in accordance with relevant state regulations.
旅游、工商、价格、商务、外汇等有关部门工作人员不得接受旅行社的任何馈赠，不得参加由旅行社支付费用的购物活动或者游览项目，不得通过旅行社为自己、亲友或者其他个人、组织牟取私利。
Staff members of relevant departments such as tourism, industry and commerce, price, commerce, and foreign exchange shall not accept any gifts from travel agencies, shall not participate in shopping activities or tour programs paid for by travel agencies, and shall not seek personal gain for themselves, relatives, friends, or other individuals or organizations through travel agencies.

违反本条例的规定，有下列情形之一的，由旅游行政管理部门或者工商行政管理部门责令改正，没收违法所得，违法所得10万元以上的，并处违法所得1倍以上5倍以下的罚款；违法所得不足10万元或者没有违法所得的，并处10万元以上50万元以下的罚款：
In violation of the provisions of these Regulations, under any of the following circumstances, the administrative department of tourism or the administrative department of industry and commerce shall order correction, confiscate illegal gains. If the illegal gains are 100,000 yuan or more, a fine of not less than one time but not more than five times the illegal gains shall be imposed; if the illegal gains are less than 100,000 yuan or there are no illegal gains, a fine of not less than 100,000 yuan but not more than 500,000 yuan shall be imposed:
(一)未取得相应的旅行社业务经营许可，经营国内旅游业务、入境旅游业务、出境旅游业务的；
(1) Operating domestic tourism business, inbound tourism business, or outbound tourism business without obtaining the corresponding travel agency business operation permit;
(二)分社超出设立分社的旅行社的经营范围经营旅游业务的；
(2) A branch operating tourism business beyond the business scope of the travel agency that established the branch;
(三)旅行社服务网点从事招徕、咨询以外的旅行社业务经营活动的。
(3) A travel agency service outlet engaging in travel agency business activities other than solicitation and consultation.
旅行社转让、出租、出借旅行社业务经营许可证的，由旅游行政管理部门责令停业整顿1个月至3个月，并没收违法所得；情节严重的，吊销旅行社业务经营许可证。受让或者租借旅行社业务经营许可证的，由旅游行政管理部门责令停止非法经营，没收违法所得，并处10万元以上50万元以下的罚款。
If a travel agency transfers, rents, or lends its travel agency business operation permit, the administrative department of tourism shall order a suspension of business for rectification for a period of one to three months and confiscate illegal gains; if the circumstances are serious, the travel agency business operation permit shall be revoked. If a party accepts the transfer or rents or borrows a travel agency business operation permit, the administrative department of tourism shall order the cessation of illegal operations, confiscate illegal gains, and impose a fine of not less than 100,000 yuan but not more than 500,000 yuan.
违反本条例的规定，旅行社未在规定期限内向其质量保证金账户存入、增存、补足质量保证金或者提交相应的银行担保的，由旅游行政管理部门责令改正；拒不改正的，吊销旅行社业务经营许可证。
Where a travel agency, in violation of these Regulations, fails to deposit, increase, or replenish the qualitydeposit into its qualitydeposit account within the prescribed time limit, or fails to provide corresponding bank guarantee, the tourism administrative department shall order it to make corrections; if it refuses to make corrections, its travel agency business license shall be revoked.
违反本条例的规定，旅行社不投保旅行社责任险的，由旅游行政管理部门责令改正；拒不改正的，吊销旅行社业务经营许可证。
Where a travel agency, in violation of these Regulations, fails to purchase travel agency liability insurance, the tourism administrative department shall order it to make corrections; if it refuses to make corrections, its travel agency business license shall be revoked.
违反本条例的规定，旅行社有下列情形之一的，由旅游行政管理部门责令改正；拒不改正的，处1万元以下的罚款：
Where a travel agency, in violation of these Regulations, commits any of the following acts, the tourism administrative department shall order it to make corrections; if it refuses to make corrections, a fine of not more than 10,000 yuan shall be imposed:
(一)变更名称、经营场所、法定代表人等登记事项或者终止经营，未在规定期限内向原许可的旅游行政管理部门备案，换领或者交回旅行社业务经营许可证的；
(1) Changing its name, business premises, legal representative or other registered items, or terminating business, without filing with the original tourism administrative department that granted the license and exchanging or returning the travel agency business license within the prescribed time limit;
(二)设立分社未在规定期限内向分社所在地旅游行政管理部门备案的；
(2) Establishing a branch without filing with the tourism administrative department at the location of the branch within the prescribed time limit;
(三)不按照国家有关规定向旅游行政管理部门报送经营和财务信息等统计资料的。
(3) Failing to submit operational and financial information and other statistical data to the tourism administrative department in accordance with relevant state regulations.
违反本条例的规定，外商投资旅行社经营中国内地居民出国旅游业务以及赴香港特别行政区、澳门特别行政区和台湾地区旅游业务，或者经营出境旅游业务的旅行社组织旅游者到国务院旅游行政主管部门公布的中国公民出境旅游目的地之外的国家和地区旅游的，由旅游行政管理部门责令改正，没收违法所得，违法所得10万元以上的，并处违法所得1倍以上5倍以下的罚款；违法所得不足10万元或者没有违法所得的，并处10万元以上50万元以下的罚款；情节严重的，吊销旅行社业务经营许可证。
Where a foreign-invested travel agency, in violation of these Regulations, operates outbound tourism business for Chinese mainland residents to travel abroad or to Hong Kong Special Administrative Region, Macao Special Administrative Region and Taiwan region, or a travel agency operating outbound tourism organizes tourists to travel to countries or regions other than the outbound tourism destinations for Chinese citizens published by the tourism administrative department of the State Council, the tourism administrative department shall order it to make corrections, confiscate the illegal gains, and if the illegal gains are more than 100,000 yuan, impose a fine of not less than one time but not more than five times the illegal gains; if the illegal gains are less than 100,000 yuan or there are no illegal gains, impose a fine of not less than 100,000 yuan but not more than 500,000 yuan; if the circumstances are serious, the travel agency business license shall be revoked.
违反本条例的规定，旅行社为旅游者安排或者介绍的旅游活动含有违反有关法律、法规规定的内容的，由旅游行政管理部门责令改正，没收违法所得，并处2万元以上10万元以下的罚款；情节严重的，吊销旅行社业务经营许可证。
Where a travel agency, in violation of these Regulations, arranges or introduces tourism activities for tourists that contain content violating relevant laws and regulations, the tourism administrative department shall order it to make corrections, confiscate the illegal gains, and impose a fine of not less than 20,000 yuan but not more than 100,000 yuan; if the circumstances are serious, the travel agency business license shall be revoked.
违反本条例的规定，旅行社向旅游者提供的旅游服务信息含有虚假内容或者作虚假宣传的，由工商行政管理部门依法给予处罚。
Where a travel agency, in violation of these Regulations, provides tourism service information containing false content or makes false propaganda to tourists, the administrative department for industry and commerce shall impose penalties in accordance with the law.
违反本条例的规定，旅行社以低于旅游成本的报价招徕旅游者的，由价格主管部门依法给予处罚。
Where a travel agency, in violation of these Regulations, solicits tourists by offering prices lower than the cost of tourism, the competent pricing department shall impose penalties in accordance with the law.
违反本条例的规定，旅行社未经旅游者同意在旅游合同约定之外提供其他有偿服务的，由旅游行政管理部门责令改正，处1万元以上5万元以下的罚款。
Where a travel agency, in violation of the provisions of these Regulations, provides other paid services beyond the travel contract without the consent of the tourist, the tourism administrative department shall order it to make corrections and impose a fine of not less than 10,000 yuan but not more than 50,000 yuan.
违反本条例的规定，旅行社有下列情形之一的，由旅游行政管理部门责令改正，处2万元以上10万元以下的罚款；情节严重的，责令停业整顿1个月至3个月：
Where a travel agency, in violation of the provisions of these Regulations, falls under any of the following circumstances, the tourism administrative department shall order it to make corrections and impose a fine of not less than 20,000 yuan but not more than 100,000 yuan; if the circumstances are serious, it shall order the suspension of business for rectification for a period of not less than one month but not more than three months:
(一)未与旅游者签订旅游合同；
(1) Failing to sign a travel contract with the tourist;
(二)与旅游者签订的旅游合同未载明本条例第二十八条规定的事项；
(2) The travel contract signed with the tourist does not contain the matters specified in Article 28 of these Regulations;
(三)未取得旅游者同意，将旅游业务委托给其他旅行社；
(3) Entrusting travel business to another travel agency without obtaining the consent of the tourist;
(四)将旅游业务委托给不具有相应资质的旅行社；
(4) Entrusting travel business to a travel agency that does not have the corresponding qualifications;
(五)未与接受委托的旅行社就接待旅游者的事宜签订委托合同。
(5) Failing to sign an entrustment contract with the entrusted travel agency regarding the reception of tourists.
违反本条例的规定，旅行社组织中国内地居民出境旅游，不为旅游团队安排领队全程陪同的，由旅游行政管理部门责令改正，处1万元以上5万元以下的罚款；拒不改正的，责令停业整顿1个月至3个月。
Where a travel agency, in violation of the provisions of these Regulations, organizes outbound travel for Chinese mainland residents but fails to arrange a full-time escort for the tour group, the tourism administrative department shall order it to make corrections and impose a fine of not less than 10,000 yuan but not more than 50,000 yuan; if it refuses to make corrections, it shall order the suspension of business for rectification for a period of not less than one month but not more than three months.
违反本条例的规定，旅行社委派的导游人员未持有国家规定的导游证或者委派的领队人员不具备规定的领队条件的，由旅游行政管理部门责令改正，对旅行社处2万元以上10万元以下的罚款。
Where a travel agency, in violation of the provisions of these Regulations, dispatches a tour guide who does not hold a national tour guide certificate or a tour escort who does not meet the required conditions, the tourism administrative department shall order it to make corrections and impose a fine of not less than 20,000 yuan but not more than 100,000 yuan on the travel agency.
违反本条例的规定，旅行社不向其聘用的导游人员、领队人员支付报酬，或者所支付的报酬低于当地最低工资标准的，按照《中华人民共和国劳动合同法》的有关规定处理。
Where a travel agency, in violation of the provisions of these Regulations, fails to pay remuneration to the tour guides or tour escorts it employs, or the remuneration paid is lower than the local minimum wage standard, the matter shall be handled in accordance with the relevant provisions of the Labor Contract Law of the People's Republic of China.
违反本条例的规定，有下列情形之一的，对旅行社，由旅游行政管理部门或者工商行政管理部门责令改正，处10万元以上50万元以下的罚款；对导游人员、领队人员，由旅游行政管理部门责令改正，处1万元以上5万元以下的罚款；情节严重的，吊销旅行社业务经营许可证、导游证：
In violation of these Regulations, under any of the following circumstances, for a travel agency, the tourism administrative department or the administrative department for industry and commerce shall order correction and impose a fine of not less than 100,000 yuan but not more than 500,000 yuan; for a tour guide or a tour leader, the tourism administrative department shall order correction and impose a fine of not less than 10,000 yuan but not more than 50,000 yuan; if the circumstances are serious, the travel agency business operation license or the tour guide certificate shall be revoked:
(一)拒不履行旅游合同约定的义务的；
(1) Refusing to perform the obligations agreed upon in the tourism contract;
(二)非因不可抗力改变旅游合同安排的行程的；
(2) Changing the itinerary arranged in the tourism contract without force majeure;
(三)欺骗、胁迫旅游者购物或者参加需要另行付费的游览项目的。
(3) Deceiving or coercing tourists into shopping or participating in paid sightseeing projects that require additional payment.
违反本条例的规定，旅行社要求导游人员和领队人员接待不支付接待和服务费用、支付的费用低于接待和服务成本的旅游团队，或者要求导游人员和领队人员承担接待旅游团队的相关费用的，由旅游行政管理部门责令改正，处2万元以上10万元以下的罚款。
In violation of these Regulations, if a travel agency requires tour guides and tour leaders to receive tour groups for which reception and service fees are not paid, or the fees paid are lower than the reception and service costs, or requires tour guides and tour leaders to bear the relevant expenses for receiving tour groups, the tourism administrative department shall order correction and impose a fine of not less than 20,000 yuan but not more than 100,000 yuan.
旅行社违反旅游合同约定，造成旅游者合法权益受到损害，不采取必要的补救措施的，由旅游行政管理部门或者工商行政管理部门责令改正，处1万元以上5万元以下的罚款；情节严重的，由旅游行政管理部门吊销旅行社业务经营许可证。
If a travel agency violates the tourism contract, causing damage to the legitimate rights and interests of tourists, and fails to take necessary remedial measures, the tourism administrative department or the administrative department for industry and commerce shall order correction and impose a fine of not less than 10,000 yuan but not more than 50,000 yuan; if the circumstances are serious, the tourism administrative department shall revoke the travel agency business operation license.
违反本条例的规定，有下列情形之一的，由旅游行政管理部门责令改正，停业整顿1个月至3个月；情节严重的，吊销旅行社业务经营许可证：
In violation of these Regulations, under any of the following circumstances, the tourism administrative department shall order correction and suspend business for rectification for a period of one to three months; if the circumstances are serious, the travel agency business operation license shall be revoked:
(一)旅行社不向接受委托的旅行社支付接待和服务费用的；
(1) A travel agency fails to pay reception and service fees to the entrusted travel agency;
(二)旅行社向接受委托的旅行社支付的费用低于接待和服务成本的；
(2) The fees paid by a travel agency to the entrusted travel agency are lower than the reception and service costs;
(三)接受委托的旅行社接待不支付或者不足额支付接待和服务费用的旅游团队的。
(3) The entrusted travel agency receives tour groups for which reception and service fees are not paid or are insufficiently paid.
违反本条例的规定，旅行社及其委派的导游人员、领队人员有下列情形之一的，由旅游行政管理部门责令改正，对旅行社处2万元以上10万元以下的罚款；对导游人员、领队人员处4000元以上2万元以下的罚款；情节严重的，责令旅行社停业整顿1个月至3个月，或者吊销旅行社业务经营许可证、导游证：
In violation of the provisions of these Regulations, if a travel agency or its assigned tour guides or leaders fall under any of the following circumstances, the tourism administrative department shall order correction, impose a fine of not less than 20,000 yuan but not more than 100,000 yuan on the travel agency, and impose a fine of not less than 4,000 yuan but not more than 20,000 yuan on the tour guide or leader; if the circumstances are serious, order the travel agency to suspend business for rectification for one to three months, or revoke the travel agency's business license and the tour guide's certificate:
(一)发生危及旅游者人身安全的情形，未采取必要的处置措施并及时报告的；
(1) When a situation endangering the personal safety of tourists occurs, failing to take necessary measures and promptly report it;
(二)旅行社组织出境旅游的旅游者非法滞留境外，旅行社未及时报告并协助提供非法滞留者信息的；
(2) When a travel agency organizes outbound tourism and tourists illegally overstay abroad, the travel agency fails to promptly report and assist in providing information on the illegal overstayers;
(三)旅行社接待入境旅游的旅游者非法滞留境内，旅行社未及时报告并协助提供非法滞留者信息的。
(3) When a travel agency receives inbound tourism and tourists illegally overstay within the country, the travel agency fails to promptly report and assist in providing information on the illegal overstayers.
因妨害国(边)境管理受到刑事处罚的，在刑罚执行完毕之日起五年内不得从事旅行社业务经营活动；旅行社被吊销旅行社业务经营许可的，其主要负责人在旅行社业务经营许可被吊销之日起五年内不得担任任何旅行社的主要负责人。
A person who has received criminal punishment for impairing border (frontier) management shall not engage in travel agency business operations within five years from the date of completion of the sentence; if a travel agency's business license is revoked, its principal responsible person shall not serve as the principal responsible person of any travel agency within five years from the date of revocation of the travel agency's business license.
旅行社违反本条例的规定，损害旅游者合法权益的，应当承担相应的民事责任；构成犯罪的，依法追究刑事责任。
If a travel agency violates the provisions of these Regulations and damages the legitimate rights and interests of tourists, it shall bear corresponding civil liability; if a crime is constituted, criminal liability shall be pursued according to law.
违反本条例的规定，旅游行政管理部门或者其他有关部门及其工作人员有下列情形之一的，对直接负责的主管人员和其他直接责任人员依法给予处分：
In violation of the provisions of these Regulations, if the tourism administrative department or other relevant departments and their staff fall under any of the following circumstances, the directly responsible supervisors and other directly responsible personnel shall be given sanctions according to law:
(一)发现违法行为不及时予以处理的；
(1) Failing to promptly handle discovered illegal acts;
(二)未及时公告对旅行社的监督检查情况的；
(2) Failing to promptly announce the supervision and inspection status of travel agencies;
(三)未及时处理旅游者投诉并将调查处理的有关情况告知旅游者的；
(3) Failing to promptly handle tourist complaints and inform tourists of the investigation and handling status.
(四)接受旅行社的馈赠的；
(4) Accepting gifts from travel agencies;
(五)参加由旅行社支付费用的购物活动或者游览项目的；
(5) Participating in shopping activities or tour programs paid for by travel agencies;
(六)通过旅行社为自己、亲友或者其他个人、组织牟取私利的。
(6) Using travel agencies to seek personal gain for oneself, relatives, friends, or other individuals or organizations.
附则
Supplementary Provisions
香港特别行政区、澳门特别行政区和台湾地区的投资者在内地投资设立的旅行社，参照适用本条例。
Investors from the Hong Kong Special Administrative Region, Macao Special Administrative Region, and Taiwan region who establish travel agencies in the mainland shall refer to these Regulations for implementation.
本条例自2009年5月1日起施行。1996年10月15日国务院发布的《旅行社管理条例》同时废止。
These Regulations shall take effect as of May 1, 2009. The Regulations on the Administration of Travel Agencies promulgated by the State Council on October 15, 1996 shall be repealed simultaneously.
