总则
General Provisions
为规范直销行为，加强对直销活动的监管，防止欺诈，保护消费者的合法权益和社会公共利益，制定本条例。
These Regulations are formulated to regulate direct selling activities, strengthen the supervision of direct selling, prevent fraud, and protect the legitimate rights and interests of consumers and the public interest.
在中华人民共和国境内从事直销活动，应当遵守本条例。
Direct selling activities conducted within the territory of the People's Republic of China shall comply with these Regulations.
直销产品的范围由国务院商务主管部门会同国务院工商行政管理部门根据直销业的发展状况和消费者的需求确定、公布。
The scope of direct selling products shall be determined and published by the competent commerce department of the State Council jointly with the administrative department for industry and commerce of the State Council based on the development of the direct selling industry and consumer demand.
本条例所称直销，是指直销企业招募直销员，由直销员在固定营业场所之外直接向最终消费者(以下简称消费者)推销产品的经销方式。
For the purposes of these Regulations, 'direct selling' means a distribution method in which a direct selling enterprise recruits direct sellers, and the direct sellers directly sell products to end consumers (hereinafter referred to as consumers) outside fixed business premises.
本条例所称直销企业，是指依照本条例规定经批准采取直销方式销售产品的企业。
For the purposes of these Regulations, 'direct selling enterprise' means an enterprise that has been approved in accordance with these Regulations to sell products through direct selling.
本条例所称直销员，是指在固定营业场所之外将产品直接推销给消费者的人员。
For the purposes of these Regulations, 'direct seller' means a person who directly sells products to consumers outside fixed business premises.
在中华人民共和国境内设立的企业(以下简称企业)，可以依照本条例规定申请成为以直销方式销售本企业生产的产品以及其母公司、控股公司生产产品的直销企业。
An enterprise established within the territory of the People's Republic of China (hereinafter referred to as an enterprise) may, in accordance with these Regulations, apply to become a direct selling enterprise that sells products produced by itself or by its parent company or holding company through direct selling.
直销企业可以依法取得贸易权和分销权。
A direct selling enterprise may lawfully obtain the right to trade and distribute.
直销企业及其直销员从事直销活动，不得有欺骗、误导等宣传和推销行为。
Direct selling enterprises and their salespersons shall not engage in deceptive or misleading publicity or sales activities when conducting direct selling.
国务院商务主管部门和工商行政管理部门依照其职责分工和本条例规定，负责对直销企业和直销员及其直销活动实施监督管理。
The competent department of commerce under the State Council and the administrative department for industry and commerce shall, in accordance with their respective functions and duties and the provisions of these Regulations, be responsible for the supervision and administration of direct selling enterprises, their salespersons, and their direct selling activities.
直销企业及其分支机构的设立和变更
Establishment and Modification of Direct Selling Enterprises and Their Branches
申请成为直销企业，应当具备下列条件：
An applicant for becoming a direct selling enterprise shall meet the following conditions:
(一)投资者具有良好的商业信誉，在提出申请前连续5年没有重大违法经营记录；外国投资者还应当有3年以上在中国境外从事直销活动的经验。
(1) The investor has good commercial reputation and has no record of major illegal business operations in the five consecutive years prior to the application; a foreign investor shall also have at least three years of experience in conducting direct selling activities outside China.
(二)实缴注册资本不低于人民币8000万元。
(2) The paid-in registered capital shall not be less than RMB 80 million yuan.
(三)依照本条例规定在指定银行足额缴纳了保证金。
(3) A sufficient amount of guarantee deposit has been paid in full into a designated bank in accordance with the provisions of these Regulations.
(四)依照规定建立了信息报备和披露制度。
(4) An information reporting and disclosure system has been established in accordance with the provisions.
申请成为直销企业应当填写申请表，并提交下列申请文件、资料：
An applicant for becoming a direct selling enterprise shall fill in an application form and submit the following application documents and materials:
(一)符合本条例第七条规定条件的证明材料；
(1) Evidentiary materials proving that the conditions specified in Article 7 of these Regulations are met;
(二)企业章程，属于中外合资、合作企业的，还应当提供合资或者合作企业合同；
(2) Enterprise charter; for Sino-foreign equity or cooperative joint ventures, the joint venture or cooperative contract shall also be provided;
(三)市场计划报告书，包括依照本条例第十条规定拟定的经当地县级以上人民政府认可的从事直销活动地区的服务网点方案；
(3) Market plan report, including the service network plan for the area where direct selling activities are to be conducted, formulated in accordance with Article 10 of these Regulations and approved by the local people's government at or above the county level;
(四)符合国家标准的产品说明；
(4) Product description conforming to national standards;
(五)拟与直销员签订的推销合同样本；
(5) Sample sales contract to be signed with direct sellers;
(六)会计师事务所出具的验资报告；
(6) Capital verification report issued by an accounting firm;
(七)企业与指定银行达成的同意依照本条例规定使用保证金的协议。
(7) Agreement between the enterprise and the designated bank agreeing to use thedeposit in accordance with these Regulations.
申请人应当通过所在地省、自治区、直辖市商务主管部门向国务院商务主管部门提出申请。省、自治区、直辖市商务主管部门应当自收到申请文件、资料之日起7日内，将申请文件、资料报送国务院商务主管部门。国务院商务主管部门应当自收到全部申请文件、资料之日起90日内，经征求国务院工商行政管理部门的意见，作出批准或者不予批准的决定。予以批准的，由国务院商务主管部门颁发直销经营许可证。
The applicant shall submit an application to the commerce department of the State Council through the commerce department of the province, autonomous region, or municipality directly under the Central Government where it is located. The commerce department of the province, autonomous region, or municipality directly under the Central Government shall, within 7 days from the date of receiving the application documents and materials, forward them to the commerce department of the State Council. The commerce department of the State Council shall, within 90 days from the date of receiving all application documents and materials, after soliciting opinions from the administrative department for industry and commerce of the State Council, make a decision to approve or disapprove. If approved, the commerce department of the State Council shall issue a direct selling license.
申请人持国务院商务主管部门颁发的直销经营许可证，依法向工商行政管理部门申请变更登记。
The applicant shall, with the direct selling license issued by the commerce department of the State Council, apply to the administrative department for industry and commerce for change of registration in accordance with the law.
国务院商务主管部门审查颁发直销经营许可证，应当考虑国家安全、社会公共利益和直销业发展状况等因素。
When examining and issuing a direct selling license, the commerce department of the State Council shall consider factors such as national security, social public interests, and the development status of the direct selling industry.
直销企业从事直销活动，必须在拟从事直销活动的省、自治区、直辖市设立负责该行政区域内直销业务的分支机构(以下简称分支机构)。
A direct selling enterprise engaging in direct selling activities must establish a branch responsible for direct selling business within the administrative region (hereinafter referred to as branch) in the province, autonomous region, or municipality directly under the Central Government where it intends to conduct direct selling activities.
直销企业在其从事直销活动的地区应当建立便于并满足消费者、直销员了解产品价格、退换货及企业依法提供其他服务的服务网点。服务网点的设立应当符合当地县级以上人民政府的要求。
A direct selling enterprise shall establish service outlets in the areas where it conducts direct selling activities to facilitate consumers and direct sellers to understand product prices, returns and exchanges, and other services provided by the enterprise in accordance with the law. The establishment of service outlets shall comply with the requirements of the local people's government at or above the county level.
直销企业申请设立分支机构，应当提供符合前款规定条件的证明文件和资料，并应当依照本条例第九条第一款规定的程序提出申请。获得批准后，依法向工商行政管理部门办理登记。
When a direct selling enterprise applies to establish a branch, it shall provide certification documents and materials that meet the conditions specified in the preceding paragraph, and shall submit an application in accordance with the procedures stipulated in Article 9, Paragraph 1 of these Regulations. After approval, it shall register with the administrative department for industry and commerce in accordance with the law.
直销企业有关本条例第八条第一项、第二项、第三项、第五项、第六项、第七项所列内容发生重大变更的，应当依照本条例第九条第一款规定的程序报国务院商务主管部门批准。
If a direct selling enterprise undergoes major changes in the contents listed in Article 8, Items 1, 2, 3, 5, 6, and 7 of these Regulations, it shall report to the commerce department of the State Council for approval in accordance with the procedures stipulated in Article 9, Paragraph 1 of these Regulations.
国务院商务主管部门应当将直销企业及其分支机构的名单在政府网站上公布，并及时进行更新。
The commerce department of the State Council shall publish the list of direct selling enterprises and their branches on the government website and update it in a timely manner.
直销员的招募和培训
Recruitment and Training of Direct Sellers
直销企业及其分支机构可以招募直销员。直销企业及其分支机构以外的任何单位和个人不得招募直销员。
Direct selling enterprises and their branches may recruit direct sellers. No unit or individual other than direct selling enterprises and their branches may recruit direct sellers.
直销员的合法推销活动不以无照经营查处。
The lawful promotional activities of direct sellers shall not be investigated and punished as unlicensed operations.
直销企业及其分支机构不得发布宣传直销员销售报酬的广告，不得以缴纳费用或者购买商品作为成为直销员的条件。
Direct selling enterprises and their branches shall not publish advertisements promoting the sales remuneration of direct sellers, nor shall they require payment of fees or purchase of goods as a condition for becoming a direct seller.
直销企业及其分支机构不得招募下列人员为直销员：
Direct selling enterprises and their branches shall not recruit the following persons as direct sellers:
(一)未满18周岁的人员；
(1) Persons under the age of 18;
(二)无民事行为能力或者限制民事行为能力的人员；
(2) Persons with no civil capacity or with limited civil capacity;
(三)全日制在校学生；
(3) Full-time students;
(四)教师、医务人员、公务员和现役军人；
(4) Teachers, medical personnel, civil servants, and active military personnel;
(五)直销企业的正式员工；
(5) Regular employees of direct selling enterprises;
(六)境外人员；
(6) Foreign nationals;
(七)法律、行政法规规定不得从事兼职的人员。
(7) Persons who are prohibited by laws or administrative regulations from engaging in part-time work.
直销企业及其分支机构招募直销员应当与其签订推销合同，并保证直销员只在其一个分支机构所在的省、自治区、直辖市行政区域内已设立服务网点的地区开展直销活动。未与直销企业或者其分支机构签订推销合同的人员，不得以任何方式从事直销活动。
A direct selling enterprise or its branch shall sign a sales contract with the direct seller it intends to recruit, and shall ensure that the direct seller conducts direct selling activities only in areas where service outlets have been established within the administrative region of the province, autonomous region, or municipality directly under the Central Government where the branch is located. Persons who have not signed a sales contract with the direct selling enterprise or its branch shall not engage in direct selling activities in any manner.
直销员自签订推销合同之日起60日内可以随时解除推销合同；60日后，直销员解除推销合同应当提前15日通知直销企业。
A direct seller may terminate the sales contract at any time within 60 days from the date of signing the sales contract; after 60 days, the direct seller shall notify the direct selling enterprise 15 days in advance to terminate the sales contract.
直销企业应当对拟招募的直销员进行业务培训和考试，考试合格后由直销企业颁发直销员证。未取得直销员证，任何人不得从事直销活动。
A direct selling enterprise shall provide business training and examinations to the direct sellers it intends to recruit. After passing the examination, the direct selling enterprise shall issue a direct seller certificate. No one may engage in direct selling activities without obtaining a direct seller certificate.
直销企业进行直销员业务培训和考试，不得收取任何费用。
A direct selling enterprise shall not charge any fees for providing business training and examinations to direct sellers.
直销企业以外的单位和个人，不得以任何名义组织直销员业务培训。
No entity or individual other than a direct selling enterprise may organize business training for direct salespersons in any name.
对直销员进行业务培训的授课人员应当是直销企业的正式员工，并符合下列条件：
The instructors providing business training to direct salespersons shall be regular employees of the direct selling enterprise and meet the following conditions:
(一)在本企业工作1年以上；
(1) Have worked in the enterprise for more than one year;
(二)具有高等教育本科以上学历和相关的法律、市场营销专业知识；
(2) Have a bachelor's degree or above in higher education and relevant professional knowledge of law and marketing;
(三)无因故意犯罪受刑事处罚的记录；
(3) Have no record of criminal punishment for intentional crimes;
(四)无重大违法经营记录。
(4) Have no record of major illegal business operations.
直销企业应当向符合前款规定的授课人员颁发直销培训员证，并将取得直销培训员证的人员名单报国务院商务主管部门备案。国务院商务主管部门应当将取得直销培训员证的人员名单，在政府网站上公布。
The direct selling enterprise shall issue a direct selling trainer certificate to the instructors who meet the conditions specified in the preceding paragraph, and submit the list of persons who have obtained the direct selling trainer certificate to the competent commerce department of the State Council for recordation. The competent commerce department of the State Council shall publish the list of persons who have obtained the direct selling trainer certificate on the government website.
境外人员不得从事直销员业务培训。
Foreign personnel shall not engage in business training for direct salespersons.
直销企业颁发的直销员证、直销培训员证应当依照国务院商务主管部门规定的式样印制。
The direct salesperson certificate and direct selling trainer certificate issued by a direct selling enterprise shall be printed in accordance with the format prescribed by the competent commerce department of the State Council.
直销企业应当对直销员业务培训的合法性、培训秩序和培训场所的安全负责。
The direct selling enterprise shall be responsible for the legality of the business training for direct salespersons, the training order, and the safety of the training venue.
直销企业及其直销培训员应当对直销员业务培训授课内容的合法性负责。
Direct selling enterprises and their direct selling trainers shall be responsible for the legality of the content of direct seller business training sessions.
直销员业务培训的具体管理办法由国务院商务主管部门、国务院工商行政管理部门会同有关部门另行制定。
Specific administrative measures for direct seller business training shall be separately formulated by the competent commerce department of the State Council, the administrative department for industry and commerce of the State Council, together with relevant departments.
直销活动
Direct Selling Activities
直销员向消费者推销产品，应当遵守下列规定：
When a direct seller promotes products to consumers, they shall comply with the following provisions:
(一)出示直销员证和推销合同；
(1) Present the direct seller certificate and the sales contract;
(二)未经消费者同意，不得进入消费者住所强行推销产品，消费者要求其停止推销活动的，应当立即停止，并离开消费者住所；
(2) Without the consumer's consent, they shall not enter the consumer's residence to forcefully promote products; if the consumer requests them to stop the promotional activity, they shall immediately stop and leave the consumer's residence;
(三)成交前，向消费者详细介绍本企业的退货制度；
(3) Before concluding a transaction, introduce the enterprise's return policy to the consumer in detail;
(四)成交后，向消费者提供发票和由直销企业出具的含有退货制度、直销企业当地服务网点地址和电话号码等内容的售货凭证。
(4) After concluding a transaction, provide the consumer with an invoice and a sales voucher issued by the direct selling enterprise that includes the return policy, the address and telephone number of the local service outlet of the direct selling enterprise, and other content.
直销企业应当在直销产品上标明产品价格，该价格与服务网点展示的产品价格应当一致。直销员必须按照标明的价格向消费者推销产品。
Direct selling enterprises shall indicate the product price on direct selling products, and such price shall be consistent with the product price displayed at service outlets. Direct sellers must promote products to consumers at the indicated price.
直销企业至少应当按月支付直销员报酬。直销企业支付给直销员的报酬只能按照直销员本人直接向消费者销售产品的收入计算，报酬总额(包括佣金、奖金、各种形式的奖励以及其他经济利益等)不得超过直销员本人直接向消费者销售产品收入的30%。
Direct selling enterprises shall pay direct seller remuneration at least monthly. The remuneration paid by a direct selling enterprise to a direct seller may only be calculated based on the income from products directly sold by the direct seller to consumers, and the total remuneration (including commissions, bonuses, various forms of rewards, and other economic benefits, etc.) shall not exceed 30% of the income from products directly sold by the direct seller to consumers.
直销企业应当建立并实行完善的换货和退货制度。
A direct selling enterprise shall establish and implement a complete system for exchange and return of goods.
消费者自购买直销产品之日起30日内，产品未开封的，可以凭直销企业开具的发票或者售货凭证向直销企业及其分支机构、所在地的服务网点或者推销产品的直销员办理换货和退货；直销企业及其分支机构、所在地的服务网点和直销员应当自消费者提出换货或者退货要求之日起7日内，按照发票或者售货凭证标明的价款办理换货和退货。
If a consumer, within 30 days from the date of purchase of a direct selling product, and the product is unopened, may, by presenting the invoice or sales voucher issued by the direct selling enterprise, apply for exchange or return to the direct selling enterprise, its branches, local service outlets, or the direct seller who promoted the product; the direct selling enterprise, its branches, local service outlets, and the direct seller shall, within 7 days from the date the consumer requests exchange or return, handle the exchange or return according to the price indicated on the invoice or sales voucher.
直销员自购买直销产品之日起30日内，产品未开封的，可以凭直销企业开具的发票或者售货凭证向直销企业及其分支机构或者所在地的服务网点办理换货和退货；直销企业及其分支机构和所在地的服务网点应当自直销员提出换货或者退货要求之日起7日内，按照发票或者售货凭证标明的价款办理换货和退货。
If a direct seller, within 30 days from the date of purchase of a direct selling product, and the product is unopened, may, by presenting the invoice or sales voucher issued by the direct selling enterprise, apply for exchange or return to the direct selling enterprise, its branches, or local service outlets; the direct selling enterprise, its branches, and local service outlets shall, within 7 days from the date the direct seller requests exchange or return, handle the exchange or return according to the price indicated on the invoice or sales voucher.
不属于前两款规定情形，消费者、直销员要求换货和退货的，直销企业及其分支机构、所在地的服务网点和直销员应当依照有关法律法规的规定或者合同的约定，办理换货和退货。
If a consumer or direct seller requests exchange or return under circumstances not covered by the preceding two paragraphs, the direct selling enterprise, its branches, local service outlets, and the direct seller shall handle the exchange or return in accordance with the provisions of relevant laws and regulations or the contract.
直销企业与直销员、直销企业及其直销员与消费者因换货或者退货发生纠纷的，由前者承担举证责任。
If a dispute arises between a direct selling enterprise and a direct seller, or between a direct selling enterprise or its direct seller and a consumer, regarding exchange or return, the former shall bear the burden of proof.
直销企业对其直销员的直销行为承担连带责任，能够证明直销员的直销行为与本企业无关的除外。
A direct selling enterprise shall bear joint and several liability for the direct selling activities of its direct sellers, unless it can prove that the direct seller's activities are unrelated to the enterprise.
直销企业应当依照国务院商务主管部门和国务院工商行政管理部门的规定，建立并实行完备的信息报备和披露制度。
A direct selling enterprise shall, in accordance with the provisions of the competent department of commerce of the State Council and the administrative department for industry and commerce of the State Council, establish and implement a complete information reporting and disclosure system.
直销企业信息报备和披露的内容、方式及相关要求，由国务院商务主管部门和国务院工商行政管理部门另行规定。
The content, methods, and related requirements for information reporting and disclosure by direct selling enterprises shall be separately prescribed by the competent department of commerce of the State Council and the administrative department for industry and commerce of the State Council.
保证金
Security Deposit
直销企业应当在国务院商务主管部门和国务院工商行政管理部门共同指定的银行开设专门账户，存入保证金。
A direct selling enterprise shall open a dedicated account and deposit a security deposit in a bank jointly designated by the competent department of commerce of the State Council and the administrative department for industry and commerce of the State Council.
保证金的数额在直销企业设立时为人民币2000万元；直销企业运营后，保证金应当按月进行调整，其数额应当保持在直销企业上一个月直销产品销售收入15%的水平，但最高不超过人民币1亿元，最低不少于人民币2000万元。保证金的利息属于直销企业。
The amount of the security deposit at the establishment of a direct selling enterprise is RMB 20 million; after the enterprise begins operations, the deposit shall be adjusted monthly, and its amount shall be maintained at 15% of the enterprise's direct selling product sales revenue from the previous month, but shall not exceed RMB 100 million and shall not be less than RMB 20 million. Interest on the deposit belongs to the direct selling enterprise.
出现下列情形之一，国务院商务主管部门和国务院工商行政管理部门共同决定，可以使用保证金：
Under any of the following circumstances, the competent department of commerce of the State Council and the administrative department for industry and commerce of the State Council may jointly decide to use the security deposit:
(一)无正当理由，直销企业不向直销员支付报酬，或者不向直销员、消费者支付退货款的；
(1) Without justifiable reasons, the direct selling enterprise fails to pay remuneration to direct sellers, or fails to pay refunds to direct sellers or consumers;
(二)直销企业发生停业、合并、解散、转让、破产等情况，无力向直销员支付报酬或者无力向直销员和消费者支付退货款的；
(2) The direct selling enterprise experiences suspension, merger, dissolution, transfer, bankruptcy, or other situations, and is unable to pay remuneration to direct sellers or unable to pay refunds to direct sellers and consumers;
(三)因直销产品问题给消费者造成损失，依法应当进行赔偿，直销企业无正当理由拒绝赔偿或者无力赔偿的。
(3) Losses are caused to consumers due to problems with direct selling products, and compensation is legally required, but the direct selling enterprise refuses without justifiable reasons or is unable to compensate.
保证金依照本条例第三十条规定使用后，直销企业应当在1个月内将保证金的数额补足到本条例第二十九条第二款规定的水平。
After the security deposit is used in accordance with Article 30 of these Regulations, the direct selling enterprise shall replenish the deposit to the level specified in paragraph 2 of Article 29 of these Regulations within one month.
直销企业不得以保证金对外担保或者违反本条例规定用于清偿债务。
A direct selling enterprise shall not use the security deposit as an external guarantee or use it to settle debts in violation of these Regulations.
直销企业不再从事直销活动的，凭国务院商务主管部门和国务院工商行政管理部门出具的凭证，可以向银行取回保证金。
If a direct selling enterprise no longer engages in direct selling activities, it may withdraw the security deposit from the bank upon presenting a certificate issued by the competent department of commerce of the State Council and the administrative department for industry and commerce of the State Council.
国务院商务主管部门和国务院工商行政管理部门共同负责保证金的日常监管工作。
The competent department of commerce of the State Council and the administrative department for industry and commerce of the State Council are jointly responsible for the daily supervision and management of the security deposit.
保证金存缴、使用的具体管理办法由国务院商务主管部门、国务院工商行政管理部门会同有关部门另行制定。
Specific management measures for the deposit and use of the security deposit shall be separately formulated by the competent department of commerce of the State Council, the administrative department for industry and commerce of the State Council, and other relevant departments.
监督管理
Supervision and Administration
工商行政管理部门负责对直销企业和直销员及其直销活动实施日常的监督管理。工商行政管理部门可以采取下列措施进行现场检查：
The administrative department for industry and commerce shall be responsible for the daily supervision and administration of direct selling enterprises and direct sellers and their direct selling activities. The administrative department for industry and commerce may take the following measures to conduct on-site inspections:
(一)进入相关企业进行检查；
(1) Enter relevant enterprises for inspection;
(二)要求相关企业提供有关文件、资料和证明材料；
(2) Require relevant enterprises to provide relevant documents, materials, and evidentiary materials;
(三)询问当事人、利害关系人和其他有关人员，并要求其提供有关材料；
(3) Inquire of the parties, interested parties, and other relevant persons, and require them to provide relevant materials;
(四)查阅、复制、查封、扣押相关企业与直销活动有关的材料和非法财物；
(4) Inspect, copy, seal up, or seize materials and illegal property related to direct selling activities of relevant enterprises;
(五)检查有关人员的直销培训员证、直销员证等证件。
(5) Inspect the direct selling trainer certificates, direct seller certificates, and other certificates of relevant persons.
工商行政管理部门依照前款规定进行现场检查时，检查人员不得少于2人，并应当出示合法证件；实施查封、扣押的，必须经县级以上工商行政管理部门主要负责人批准。
When conducting on-site inspections in accordance with the preceding paragraph, the administrative department for industry and commerce shall have no fewer than two inspectors and shall present valid credentials; sealing up or seizure must be approved by the principal responsible person of the administrative department for industry and commerce at or above the county level.
工商行政管理部门实施日常监督管理，发现有关企业有涉嫌违反本条例行为的，经县级以上工商行政管理部门主要负责人批准，可以责令其暂时停止有关的经营活动。
When conducting daily supervision and administration, if the administrative department for industry and commerce discovers that a relevant enterprise has suspected violations of these Regulations, it may, with the approval of the principal responsible person of the administrative department for industry and commerce at or above the county level, order the enterprise to temporarily suspend its relevant business operations.
工商行政管理部门应当设立并公布举报电话，接受对违反本条例行为的举报和投诉，并及时进行调查处理。
The administrative department for industry and commerce shall establish and publish a complaint hotline to accept reports and complaints of violations of these Regulations, and shall promptly investigate and handle them.
工商行政管理部门应当为举报人保密；对举报有功人员，应当依照国家有关规定给予奖励。
The administrative department for industry and commerce shall keep the whistleblower confidential; and shall reward those who have rendered meritorious service in reporting in accordance with relevant state regulations.
法律责任
Legal Liability
对直销企业和直销员及其直销活动实施监督管理的有关部门及其工作人员，对不符合本条例规定条件的申请予以许可或者不依照本条例规定履行监督管理职责的，对直接负责的主管人员和其他直接责任人员，依法给予行政处分；构成犯罪的，依法追究刑事责任。对不符合本条例规定条件的申请予以的许可，由作出许可决定的有关部门撤销。
Where the relevant departments and their staff responsible for supervising and managing direct selling enterprises, direct sellers and their direct selling activities grant permission to an application that does not meet the conditions of these Regulations, or fail to perform their supervision and management duties in accordance with these Regulations, the directly responsible person in charge and other directly responsible persons shall be given administrative sanctions according to law; if a crime is constituted, criminal liability shall be pursued according to law. The permission granted to an application that does not meet the conditions of these Regulations shall be revoked by the relevant department that made the permission decision.
违反本条例第九条和第十条规定，未经批准从事直销活动的，由工商行政管理部门责令改正，没收直销产品和违法销售收入，处5万元以上30万元以下的罚款；情节严重的，处30万元以上50万元以下的罚款，并依法予以取缔；构成犯罪的，依法追究刑事责任。
Whoever engages in direct selling activities without approval in violation of the provisions of Articles 9 and 10 of these Regulations shall be ordered to make corrections by the administrative department for industry and commerce, and their direct selling products and illegal sales revenue shall be confiscated, and a fine of not less than 50,000 yuan but not more than 300,000 yuan shall be imposed; if the circumstances are serious, a fine of not less than 300,000 yuan but not more than 500,000 yuan shall be imposed, and the violator shall be banned according to law; if a crime is constituted, criminal liability shall be pursued according to law.
申请人通过欺骗、贿赂等手段取得本条例第九条和第十条设定的许可的，由工商行政管理部门没收直销产品和违法销售收入，处5万元以上30万元以下的罚款，由国务院商务主管部门撤销其相应的许可，申请人不得再提出申请；情节严重的，处30万元以上50万元以下的罚款，并依法予以取缔；构成犯罪的，依法追究刑事责任。
Where an applicant obtains the permission set forth in Articles 9 and 10 of these Regulations by means of deception, bribery, etc., the administrative department for industry and commerce shall confiscate their direct selling products and illegal sales revenue, impose a fine of not less than 50,000 yuan but not more than 300,000 yuan, and the competent department of commerce of the State Council shall revoke the corresponding permission, and the applicant shall not apply again; if the circumstances are serious, a fine of not less than 300,000 yuan but not more than 500,000 yuan shall be imposed, and the violator shall be banned according to law; if a crime is constituted, criminal liability shall be pursued according to law.
直销企业违反本条例第十一条规定的，由工商行政管理部门责令改正，处3万元以上30万元以下的罚款；对不再符合直销经营许可条件的，由国务院商务主管部门吊销其直销经营许可证。
Where a direct selling enterprise violates the provisions of Article 11 of these Regulations, the administrative department for industry and commerce shall order it to make corrections and impose a fine of not less than 30,000 yuan but not more than 300,000 yuan; if it no longer meets the conditions for direct selling operation permission, the competent department of commerce of the State Council shall revoke its direct selling operation license.
直销企业违反规定，超出直销产品范围从事直销经营活动的，由工商行政管理部门责令改正，没收直销产品和违法销售收入，处5万元以上30万元以下的罚款；情节严重的，处30万元以上50万元以下的罚款，由工商行政管理部门吊销有违法经营行为的直销企业分支机构的营业执照直至由国务院商务主管部门吊销直销企业的直销经营许可证。

直销企业及其直销员违反本条例规定，有欺骗、误导等宣传和推销行为的，对直销企业，由工商行政管理部门处3万元以上10万元以下的罚款；情节严重的，处10万元以上30万元以下的罚款，由工商行政管理部门吊销有违法经营行为的直销企业分支机构的营业执照直至由国务院商务主管部门吊销直销企业的直销经营许可证。对直销员，由工商行政管理部门处5万元以下的罚款；情节严重的，责令直销企业撤销其直销员资格。

For the direct seller, the administrative department for industry and commerce shall impose a fine of not more than 50,000 yuan; if the circumstances are serious, the direct selling enterprise shall be ordered to revoke the direct seller's qualification.
直销企业及其分支机构违反本条例规定招募直销员的，由工商行政管理部门责令改正，处3万元以上10万元以下的罚款；情节严重的，处10万元以上30万元以下的罚款，由工商行政管理部门吊销有违法经营行为的直销企业分支机构的营业执照直至由国务院商务主管部门吊销直销企业的直销经营许可证。

违反本条例规定，未取得直销员证从事直销活动的，由工商行政管理部门责令改正，没收直销产品和违法销售收入，可以处2万元以下的罚款；情节严重的，处2万元以上20万元以下的罚款。
Whoever engages in direct selling activities without obtaining a direct seller certificate in violation of the provisions of these Regulations shall be ordered to make corrections by the administrative department for industry and commerce, and their direct selling products and illegal sales revenue shall be confiscated, and a fine of not more than 20,000 yuan may be imposed; if the circumstances are serious, a fine of not less than 20,000 yuan but not more than 200,000 yuan shall be imposed.
直销企业进行直销员业务培训违反本条例规定的，由工商行政管理部门责令改正，没收违法所得，处3万元以上10万元以下的罚款；情节严重的，处10万元以上30万元以下的罚款，由工商行政管理部门吊销有违法经营行为的直销企业分支机构的营业执照直至由国务院商务主管部门吊销直销企业的直销经营许可证；对授课人员，由工商行政管理部门处5万元以下的罚款，是直销培训员的，责令直销企业撤销其直销培训员资格。
If a direct selling enterprise conducts training for direct sellers in violation of these Regulations, the administrative department for industry and commerce shall order correction, confiscate illegal gains, and impose a fine of not less than 30,000 yuan but not more than 100,000 yuan; if the circumstances are serious, a fine of not less than 100,000 yuan but not more than 300,000 yuan shall be imposed, and the administrative department for industry and commerce shall revoke the business license of the branch of the direct selling enterprise that engaged in the illegal business activities, up to the revocation of the direct selling business license of the direct selling enterprise by the competent commerce department of the State Council; for the instructor, the administrative department for industry and commerce shall impose a fine of not more than 50,000 yuan, and if the instructor is a direct selling trainer, the direct selling enterprise shall be ordered to revoke the qualification of the direct selling trainer.
直销企业以外的单位和个人组织直销员业务培训的，由工商行政管理部门责令改正，没收违法所得，处2万元以上20万元以下的罚款。
If a unit or individual other than a direct selling enterprise organizes training for direct sellers, the administrative department for industry and commerce shall order correction, confiscate illegal gains, and impose a fine of not less than 20,000 yuan but not more than 200,000 yuan.
直销员违反本条例第二十二条规定的，由工商行政管理部门没收违法销售收入，可以处5万元以下的罚款；情节严重的，责令直销企业撤销其直销员资格，并对直销企业处1万元以上10万元以下的罚款。
If a direct seller violates the provisions of Article 22 of these Regulations, the administrative department for industry and commerce shall confiscate the illegal sales revenue and may impose a fine of not more than 50,000 yuan; if the circumstances are serious, the direct selling enterprise shall be ordered to revoke the qualification of the direct seller, and a fine of not less than 10,000 yuan but not more than 100,000 yuan shall be imposed on the direct selling enterprise.
直销企业违反本条例第二十三条规定的，依照价格法的有关规定处理。
If a direct selling enterprise violates the provisions of Article 23 of these Regulations, it shall be dealt with in accordance with the relevant provisions of the Price Law.
直销企业违反本条例第二十四条和第二十五条规定的，由工商行政管理部门责令改正，处5万元以上30万元以下的罚款；情节严重的，处30万元以上50万元以下的罚款，由工商行政管理部门吊销有违法经营行为的直销企业分支机构的营业执照直至由国务院商务主管部门吊销直销企业的直销经营许可证。
If a direct selling enterprise violates the provisions of Articles 24 and 25 of these Regulations, the administrative department for industry and commerce shall order correction and impose a fine of not less than 50,000 yuan but not more than 300,000 yuan; if the circumstances are serious, a fine of not less than 300,000 yuan but not more than 500,000 yuan shall be imposed, and the administrative department for industry and commerce shall revoke the business license of the branch of the direct selling enterprise that engaged in the illegal business activities, up to the revocation of the direct selling business license of the direct selling enterprise by the competent commerce department of the State Council.
直销企业未依照有关规定进行信息报备和披露的，由工商行政管理部门责令限期改正，处10万元以下的罚款；情节严重的，处10万元以上30万元以下的罚款；拒不改正的，由国务院商务主管部门吊销其直销经营许可证。
If a direct selling enterprise fails to carry out information reporting and disclosure in accordance with relevant provisions, the administrative department for industry and commerce shall order correction within a specified period and impose a fine of not more than 100,000 yuan; if the circumstances are serious, a fine of not less than 100,000 yuan but not more than 300,000 yuan shall be imposed; if correction is refused, the competent commerce department of the State Council shall revoke its direct selling business license.
直销企业违反本条例第五章有关规定的，由工商行政管理部门责令限期改正，处10万元以下的罚款；拒不改正的，处10万元以上30万元以下的罚款，由国务院商务主管部门吊销其直销经营许可证。
If a direct selling enterprise violates the relevant provisions of Chapter 5 of these Regulations, the administrative department for industry and commerce shall order correction within a specified period and impose a fine of not more than 100,000 yuan; if correction is refused, a fine of not less than 100,000 yuan but not more than 300,000 yuan shall be imposed, and the competent commerce department of the State Council shall revoke its direct selling business license.
违反本条例的违法行为同时违反《禁止传销条例》的，依照《禁止传销条例》有关规定予以处罚。
If an illegal act that violates these Regulations also violates the Regulations on Prohibition of Pyramid Schemes, punishment shall be imposed in accordance with the relevant provisions of the Regulations on Prohibition of Pyramid Schemes.
附则
Supplementary Provisions
直销企业拟成立直销企业协会等社团组织，应当经国务院商务主管部门批准，凭批准文件依法申请登记。
If a direct selling enterprise intends to establish a direct selling enterprise association or other social organization, it shall obtain approval from the competent commerce department of the State Council and apply for registration in accordance with the law with the approval document.
香港特别行政区、澳门特别行政区和台湾地区的投资者在境内投资建立直销企业，开展直销活动的，参照本条例有关外国投资者的规定办理。
Investors from the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and the Taiwan region who invest in establishing direct selling enterprises and conduct direct selling activities within the territory shall be handled with reference to the provisions of these Regulations concerning foreign investors.
本条例自2005年12月1日起施行。
These Regulations shall come into force as of December 1, 2005.
