(Promulgated by Decree No. 333 of the State Council of the People's Republic of China on December 11, 2001; first revision in accordance with the Decision of the State Council on Amending the Provisions on the Administration of Foreign-Invested Telecommunications Enterprises on September 10, 2008; second revision in accordance with the Decision of the State Council on Amending Certain Administrative Regulations on February 6, 2016; third revision in accordance with the Decision of the State Council on Amending and Repealing Certain Administrative Regulations on March 29, 2022)
为了适应电信业对外开放的需要，促进电信业的发展，根据有关外商投资的法律、行政法规和《中华人民共和国电信条例》(以下简称电信条例)，制定本规定。
These Provisions are formulated in accordance with the relevant laws and administrative regulations on foreign investment and the Telecommunications Regulations of the People's Republic of China (hereinafter referred to as the Telecommunications Regulations) for the purpose of meeting the needs of opening the telecommunications industry to the outside world and promoting the development of the telecommunications industry.
外商投资电信企业，是指外国投资者依法在中华人民共和国境内设立的经营电信业务的企业。
A foreign-invested telecommunications enterprise refers to an enterprise established within the territory of the People's Republic of China by foreign investors in accordance with the law to operate telecommunications services.
外商投资电信企业从事电信业务经营活动，除必须遵守本规定外，还必须遵守电信条例和其他有关法律、行政法规的规定。
In addition to complying with these Provisions, foreign-invested telecommunications enterprises engaging in telecommunications business operations must also comply with the Telecommunications Regulations and other relevant laws and administrative regulations.
外商投资电信企业可以经营基础电信业务、增值电信业务，具体业务分类依照电信条例的规定执行。
Foreign-invested telecommunications enterprises may operate basic telecommunications services and value-added telecommunications services. The specific classification of services shall be implemented in accordance with the provisions of the Telecommunications Regulations.
外商投资电信企业经营业务的地域范围，由国务院工业和信息化主管部门按照有关规定确定。
The geographical scope of business operations of foreign-invested telecommunications enterprises shall be determined by the competent department of industry and information technology under the State Council in accordance with relevant provisions.
外商投资电信企业的注册资本应当符合下列规定：
The registered capital of a foreign-invested telecommunications enterprise shall meet the following requirements:
(一)经营全国的或者跨省、自治区、直辖市范围的基础电信业务的，其注册资本最低限额为10亿元人民币；经营增值电信业务的，其注册资本最低限额为1000万元人民币；
(1) For operating basic telecommunications services nationwide or across provinces, autonomous regions, or municipalities directly under the Central Government, the minimum registered capital shall be RMB 1 billion; for operating value-added telecommunications services, the minimum registered capital shall be RMB 10 million;
(二)经营省、自治区、直辖市范围内的基础电信业务的，其注册资本最低限额为1亿元人民币；经营增值电信业务的，其注册资本最低限额为100万元人民币。
(2) For operating basic telecommunications services within a province, autonomous region, or municipality directly under the Central Government, the minimum registered capital shall be RMB 100 million; for operating value-added telecommunications services, the minimum registered capital shall be RMB 1 million.
经营基础电信业务（无线寻呼业务除外）的外商投资电信企业的外方投资者在企业中的出资比例，最终不得超过49%，国家另有规定的除外。
The proportion of capital contribution by foreign investors in a foreign-invested telecommunications enterprise operating basic telecommunications services (excluding radio paging services) shall ultimately not exceed 49%, unless otherwise provided by the state.
经营增值电信业务（包括基础电信业务中的无线寻呼业务）的外商投资电信企业的外方投资者在企业中的出资比例，最终不得超过50%，国家另有规定的除外。
The proportion of capital contribution by foreign investors in a foreign-invested telecommunications enterprise operating value-added telecommunications services (including radio paging services in basic telecommunications services) shall ultimately not exceed 50%, unless otherwise provided by the state.
外商投资电信企业经营电信业务，除应当符合本规定第四条、第五条、第六条规定的条件外，还应当符合电信条例规定的经营基础电信业务或者经营增值电信业务应当具备的条件。
In addition to meeting the conditions specified in Articles 4, 5, and 6 of these Provisions, a foreign-invested telecommunications enterprise operating telecommunications services must also meet the conditions required for operating basic telecommunications services or value-added telecommunications services as stipulated in the Telecommunications Regulations.
经营基础电信业务的外商投资电信企业的中方主要投资者应当符合下列条件：
The Chinese major investor in a foreign-invested telecommunications enterprise operating basic telecommunications services shall meet the following conditions:
(一)是依法设立的公司；
(1) It is a company established in accordance with the law;
(二)有与从事经营活动相适应的资金和专业人员；
(2) It has funds and professional personnel commensurate with the business activities;
(三)符合国务院工业和信息化主管部门规定的审慎的和特定行业的要求。
(3) It meets the prudential and specific industry requirements prescribed by the competent department of industry and information technology under the State Council.
前款所称外商投资电信企业的中方主要投资者，是指在全体中方投资者中出资数额最多且占中方全体投资者出资总额的30%以上的出资者。
The term "Chinese major investor" in a foreign-invested telecommunications enterprise as mentioned in the preceding paragraph refers to an investor who contributes the largest amount among all Chinese investors and whose contribution accounts for more than 30% of the total contribution of all Chinese investors.
经营基础电信业务的外商投资电信企业的外方主要投资者应当符合下列条件：
The foreign major investor in a foreign-invested telecommunications enterprise operating basic telecommunications services shall meet the following conditions:
(一)具有企业法人资格；
(1) It has the status of a legal person enterprise;
(二)在注册的国家或者地区取得基础电信业务经营许可证；
(2) It has obtained a basic telecommunications service operating license in the country or region where it is registered;
(三)有与从事经营活动相适应的资金和专业人员。
(3) It has funds and professional personnel commensurate with the business activities.
前款所称外商投资电信企业的外方主要投资者，是指在外方全体投资者中出资数额最多且占全体外方投资者出资总额的30%以上的出资者。
The term "foreign major investor" in a foreign-invested telecommunications enterprise as mentioned in the preceding paragraph refers to an investor who contributes the largest amount among all foreign investors and whose contribution accounts for more than 30% of the total contribution of all foreign investors.
外商投资电信企业，经依法办理市场主体登记后，向国务院工业和信息化主管部门申请电信业务经营许可并报送下列文件：
After completing market entity registration in accordance with the law, a foreign-invested telecommunications enterprise shall apply to the competent department of industry and information technology under the State Council for a telecommunications business operating license and submit the following documents:
（一）投资者情况说明书；
(1) An explanation of the investors' situation;
（二）本规定第八条、第九条规定的投资者的资格证明或者有关确认文件；
(2) Qualification certificates or relevant confirmation documents for the investors specified in Articles 8 and 9 of these Provisions;
（三）电信条例规定的经营基础电信业务或者增值电信业务应当具备的其他条件的证明或者确认文件。
(3) Certificates or confirmation documents proving other conditions required by the Telecommunications Regulations for operating basic telecommunications services or value-added telecommunications services.
国务院工业和信息化主管部门应当自收到申请之日起对前款规定的有关文件进行审查。属于基础电信业务的，应当在受理申请之日起180日内审查完毕，作出批准或者不予批准的决定；属于增值电信业务的，应当在收到申请之日起60日内审查完毕，作出批准或者不予批准的决定。予以批准的，颁发《电信业务经营许可证》；不予批准的，应当书面通知申请人并说明理由。
The competent department of industry and information technology under the State Council shall review the relevant documents specified in the preceding paragraph from the date of receipt. For basic telecommunications services, the review shall be completed within 180 days from the date of acceptance of the application, and a decision of approval or disapproval shall be made; for value-added telecommunications services, the review shall be completed within 60 days from the date of receipt of the application, and a decision of approval or disapproval shall be made. If approved, a "Telecommunications Business Operating License" shall be issued; if not approved, the applicant shall be notified in writing with reasons stated.
外商投资电信企业投资者情况说明书的主要内容包括：投资者的名称和基本情况、各方出资比例、外方投资者对外商投资电信企业的控制情况等。
The main contents of the investor situation statement of a foreign-invested telecommunications enterprise include: the name and basic information of the investors, the proportion of capital contribution by each party, and the control of the foreign investor over the foreign-invested telecommunications enterprise, etc.
外商投资电信企业经营跨境电信业务，必须经国务院工业和信息化主管部门批准，并通过国务院工业和信息化主管部门批准设立的国际电信出入口局进行。
A foreign-invested telecommunications enterprise operating cross-border telecommunications services must be approved by the competent department of industry and information technology under the State Council and must conduct such services through an international telecommunications gateway bureau approved by the competent department of industry and information technology under the State Council.
违反本规定第六条规定的，由国务院工业和信息化主管部门责令限期改正，并处10万元以上50万元以下的罚款；逾期不改正的，吊销《电信业务经营许可证》。
Whoever violates the provisions of Article 6 of these Provisions shall be ordered by the competent department of industry and information technology under the State Council to make corrections within a specified period, and shall be fined not less than 100,000 yuan but not more than 500,000 yuan; if corrections are not made within the specified period, the "Telecommunications Business Operating License" shall be revoked.
申请设立外商投资电信企业，提供虚假、伪造的资格证明或者确认文件骗取批准的，批准无效，由国务院工业和信息化主管部门处20万元以上100万元以下的罚款，吊销《电信业务经营许可证》。
If an application for establishing a foreign-invested telecommunications enterprise obtains approval by providing false or forged qualification certificates or confirmation documents, the approval shall be invalid, and the competent department of industry and information technology under the State Council shall impose a fine of not less than 200,000 yuan but not more than 1,000,000 yuan and revoke the "Telecommunications Business Operating License".
外商投资电信企业经营电信业务，违反电信条例和其他有关法律、行政法规规定的，由有关机关依法给予处罚。
If a foreign-invested telecommunications enterprise operates telecommunications services in violation of the Telecommunications Regulations and other relevant laws and administrative regulations, the relevant authorities shall impose penalties in accordance with the law.
香港特别行政区、澳门特别行政区和台湾地区的公司、企业在内地投资经营电信业务，比照适用本规定。
Companies and enterprises from the Hong Kong Special Administrative Region, Macao Special Administrative Region, and Taiwan region investing and operating telecommunications services in the mainland shall apply these Provisions mutatis mutandis.
本规定自2002年1月1日起施行。
These Provisions shall come into force as of January 1, 2002.
