总 则
General Provisions
为了规范外国企业常驻代表机构的设立及其业务活动，制定本条例。
These Regulations are formulated to regulate the establishment and business activities of resident representative offices of foreign enterprises.
本条例所称外国企业常驻代表机构(以下简称代表机构)，是指外国企业依照本条例规定，在中国境内设立的从事与该外国企业业务有关的非营利性活动的办事机构。代表机构不具有法人资格。
For the purposes of these Regulations, the term "resident representative office of a foreign enterprise" (hereinafter referred to as the "representative office") means an office established within the territory of China by a foreign enterprise in accordance with these Regulations to engage in non-profit activities related to the business of the foreign enterprise. A representative office does not have legal person status.
代表机构应当遵守中国法律，不得损害中国国家安全和社会公共利益。
Representative offices shall abide by Chinese laws and shall not harm China's national security or social public interests.
代表机构设立、变更、终止，应当依照本条例规定办理登记。
The establishment, modification, and termination of a representative office shall be registered in accordance with these Regulations.
外国企业申请办理代表机构登记，应当对申请文件、材料的真实性负责。
A foreign enterprise applying for registration of a representative office shall be responsible for the authenticity of the application documents and materials.
省、自治区、直辖市人民政府市场监督管理部门是代表机构的登记和管理机关(以下简称登记机关)。
The market supervision and administration department of the people's government of a province, autonomous region, or municipality directly under the Central Government shall be the registration and administration authority for representative offices (hereinafter referred to as the "registration authority").
登记机关应当与其他有关部门建立信息共享机制，相互提供有关代表机构的信息。
The registration authority shall establish an information-sharing mechanism with other relevant departments to mutually provide information concerning representative offices.
代表机构应当于每年3月1日至6月30日向登记机关提交年度报告。年度报告的内容包括外国企业的合法存续情况、代表机构的业务活动开展情况及其经会计师事务所审计的费用收支情况等相关情况。
A representative office shall submit an annual report to the registration authority between March 1 and June 30 each year. The annual report shall include the lawful existence of the foreign enterprise, the business activities of the representative office, and its audited income and expenditure, among other relevant information.
代表机构应当依法设置会计账簿，真实记载外国企业经费拨付和代表机构费用收支情况，并置于代表机构驻在场所。
A representative office shall establish accounting books in accordance with the law, truthfully record the allocation of funds from the foreign enterprise and the income and expenditure of the representative office, and keep them at the representative office's premises.
代表机构不得使用其他企业、组织或者个人的账户。
A representative office shall not use accounts of other enterprises, organizations, or individuals.
外国企业委派的首席代表、代表以及代表机构的工作人员应当遵守法律、行政法规关于出入境、居留、就业、纳税、外汇登记等规定；违反规定的，由有关部门依照法律、行政法规的相关规定予以处理。
The chief representative, representatives, and staff of a representative office appointed by a foreign enterprise shall comply with laws and administrative regulations concerning entry and exit, residence, employment, taxation, and foreign exchange registration; if they violate such provisions, the relevant departments shall handle the matter in accordance with the relevant provisions of laws and administrative regulations.
登 记 事 项
Registration Items
代表机构的登记事项包括：代表机构名称、首席代表姓名、业务范围、驻在场所、驻在期限、外国企业名称及其住所。
The registration items of a representative office include: the name of the representative office, the name of the chief representative, the business scope, the premises, the term of presence, and the name and domicile of the foreign enterprise.
代表机构名称应当由以下部分依次组成：外国企业国籍、外国企业中文名称、驻在城市名称以及“代表处”字样，并不得含有下列内容和文字：
The name of a representative office shall consist of the following parts in order: the nationality of the foreign enterprise, the Chinese name of the foreign enterprise, the name of the city where it is located, and the word "representative office," and shall not contain any of the following content or words:
(一)有损于中国国家安全或者社会公共利益的；
(1) Content harmful to China's national security or social public interests;
(二)国际组织名称；
(2) Names of international organizations;
(三)法律、行政法规或者国务院规定禁止的。
(3) Content prohibited by laws, administrative regulations, or State Council provisions.
代表机构应当以登记机关登记的名称从事业务活动。
A representative office shall engage in business activities under the name registered with the registration authority.
外国企业应当委派一名首席代表。首席代表在外国企业书面授权范围内，可以代表外国企业签署代表机构登记申请文件。
A foreign enterprise shall appoint one chief representative. The chief representative may, within the scope of written authorization from the foreign enterprise, sign the registration application documents of the representative office on behalf of the foreign enterprise.
外国企业可以根据业务需要，委派1至3名代表。
A foreign enterprise may, based on business needs, appoint one to three representatives.
有下列情形之一的，不得担任首席代表、代表：
A person under any of the following circumstances shall not serve as a chief representative or representative:
(一)因损害中国国家安全或者社会公共利益，被判处刑罚的；
(1) Having been sentenced to criminal punishment for harming China's national security or social public interests;
(二)因从事损害中国国家安全或者社会公共利益等违法活动，依法被撤销设立登记、吊销登记证或者被有关部门依法责令关闭的代表机构的首席代表、代表，自被撤销、吊销或者责令关闭之日起未逾5年的；
(2) Having served as a chief representative or representative of a representative office that was revoked, had its registration certificate canceled, or was ordered to close by relevant departments for engaging in illegal activities harming China's national security or social public interests, where less than five years have elapsed since the revocation, cancellation, or closure order;
(三)国务院市场监督管理部门规定的其他情形。
(3) Other circumstances specified by the market supervision and administration department of the State Council.
代表机构不得从事营利性活动。
A representative office shall not engage in for-profit activities.
中国缔结或者参加的国际条约、协定另有规定的，从其规定，但是中国声明保留的条款除外。
Where otherwise provided by international treaties or agreements concluded or acceded to by China, such provisions shall prevail, except for clauses on which China has declared reservations.
代表机构可以从事与外国企业业务有关的下列活动：
A representative office may engage in the following activities related to the business of the foreign enterprise:
(一)与外国企业产品或者服务有关的市场调查、展示、宣传活动；
(1) Market research, display, and promotional activities related to the products or services of the foreign enterprise;
(二)与外国企业产品销售、服务提供、境内采购、境内投资有关的联络活动。
(2) Liaison activities related to the sales of products, provision of services, domestic procurement, and domestic investment of the foreign enterprise.
法律、行政法规或者国务院规定代表机构从事前款规定的业务活动须经批准的，应当取得批准。
Where laws, administrative regulations, or State Council provisions require approval for a representative office to engage in the business activities specified in the preceding paragraph, such approval shall be obtained.
代表机构的驻在场所由外国企业自行选择。
The premises of a representative office shall be chosen by the foreign enterprise itself.
根据国家安全和社会公共利益需要，有关部门可以要求代表机构调整驻在场所，并及时通知登记机关。
For the needs of national security and social public interests, relevant departments may require a representative office to adjust its premises and shall promptly notify the registration authority.
代表机构的驻在期限不得超过外国企业的存续期限。
The term of presence of a representative office shall not exceed the period of existence of the foreign enterprise.
登记机关应当将代表机构登记事项记载于代表机构登记簿，供社会公众查阅、复制。
The registration authority shall record the registration items of representative offices in the representative office register for public inspection and copying.
代表机构应当将登记机关颁发的外国企业常驻代表机构登记证(以下简称登记证)置于代表机构驻在场所的显著位置。
A representative office shall place the Foreign Enterprise Resident Representative Office Registration Certificate (hereinafter referred to as the "registration certificate") issued by the registration authority in a conspicuous position at its premises.
任何单位和个人不得伪造、涂改、出租、出借、转让登记证和首席代表、代表的代表证(以下简称代表证)。
No unit or individual may forge, alter, lease, lend, or transfer the registration certificate or the representative certificates of the chief representative and representatives (hereinafter referred to as the "representative certificates").
登记证和代表证遗失或者毁坏的，代表机构应当在指定的媒体上声明作废，申请补领。
If the registration certificate or representative certificates are lost or damaged, the representative office shall declare them void in a designated media and apply for a replacement.
登记机关依法作出准予变更登记、准予注销登记、撤销变更登记、吊销登记证决定的，代表机构原登记证和原首席代表、代表的代表证自动失效。
If the registration authority makes a decision to approve a change registration, approve a cancellation registration, revoke a change registration, or cancel a registration certificate, the original registration certificate and the original representative certificates of the chief representative and representatives shall automatically become invalid.
代表机构设立、变更，外国企业应当在登记机关指定的媒体上向社会公告。
When a representative office is established or undergoes changes, the foreign enterprise shall make a public announcement in a media designated by the registration authority.
代表机构注销或者被依法撤销设立登记、吊销登记证的，由登记机关进行公告。
If a representative office is canceled or its establishment registration is revoked or its registration certificate is canceled, the registration authority shall make a public announcement.
登记机关对代表机构涉嫌违反本条例的行为进行查处，可以依法行使下列职权：
When investigating and handling suspected violations of these Regulations by a representative office, the registration authority may exercise the following powers in accordance with the law:
(一)向有关的单位和个人调查、了解情况；
(1) Inquiring about and understanding the situation from relevant units and individuals;
(二)查阅、复制、查封、扣押与违法行为有关的合同、票据、账簿以及其他资料；
(2) Inspecting, copying, sealing, or seizing contracts, bills, account books, and other materials related to the illegal act;
(三)查封、扣押专门用于从事违法行为的工具、设备、原材料、产品(商品)等财物；
(3) Sealing or seizing tools, equipment, raw materials, products (goods), and other property specifically used for engaging in illegal acts;
(四)查询从事违法行为的代表机构的账户以及与存款有关的会计凭证、账簿、对账单等。
(4) Inquiring into the accounts of the representative office engaging in illegal acts and related accounting vouchers, account books, and statements concerning deposits.
设 立 登 记
Establishment Registration
设立代表机构应当向登记机关申请设立登记。
To establish a representative office, an application for establishment registration shall be submitted to the registration authority.
外国企业申请设立代表机构，应当向登记机关提交下列文件、材料：
A foreign enterprise applying to establish a representative office shall submit the following documents and materials to the registration authority:
(一)代表机构设立登记申请书；
(1) An application for establishment registration of the representative office;
(二)外国企业住所证明和存续2年以上的合法营业证明；
(2) Proof of domicile of the foreign enterprise and a lawful business certificate showing it has existed for more than two years;
(三)外国企业章程或者组织协议；
(3) The articles of association or organizational agreement of the foreign enterprise;
(四)外国企业对首席代表、代表的任命文件；
(4) The appointment documents of the chief representative and representatives by the foreign enterprise;
(五)首席代表、代表的身份证明和简历；
(5) Identity certificates and resumes of the chief representative and representatives;
(六)同外国企业有业务往来的金融机构出具的资金信用证明；
(6) A financial credit certificate issued by a financial institution that has business dealings with the foreign enterprise;
(七)代表机构驻在场所的合法使用证明。
(7) Proof of lawful use of the premises of the representative office.
法律、行政法规或者国务院规定设立代表机构须经批准的，外国企业应当自批准之日起90日内向登记机关申请设立登记，并提交有关批准文件。
Where laws, administrative regulations, or State Council provisions require approval for establishing a representative office, the foreign enterprise shall apply for establishment registration with the registration authority within 90 days from the date of approval and submit the relevant approval documents.
中国缔结或者参加的国际条约、协定规定可以设立从事营利性活动的代表机构的，还应当依照法律、行政法规或者国务院规定提交相应文件。
Where international treaties or agreements concluded or acceded to by China provide for the establishment of representative offices that engage in for-profit activities, corresponding documents shall also be submitted in accordance with laws, administrative regulations, or State Council provisions.
登记机关应当自受理申请之日起15日内作出是否准予登记的决定，作出决定前可以根据需要征求有关部门的意见。作出准予登记决定的，应当自作出决定之日起5日内向申请人颁发登记证和代表证；作出不予登记决定的，应当自作出决定之日起5日内向申请人出具登记驳回通知书，说明不予登记的理由。
The registration authority shall, within 15 days from the date of accepting the application, decide whether to approve the registration. Before making a decision, it may solicit opinions from relevant departments as needed. If a decision is made to approve the registration, the registration certificate and representative certificates shall be issued to the applicant within 5 days from the date of the decision; if a decision is made not to approve the registration, a registration rejection notice shall be issued to the applicant within 5 days from the date of the decision, stating the reasons for the rejection.
登记证签发日期为代表机构成立日期。
The date of issuance of the registration certificate shall be the date of establishment of the representative office.
代表机构、首席代表和代表凭登记证、代表证申请办理居留、就业、纳税、外汇登记等有关手续。
The representative office, chief representative, and representatives shall, based on the registration certificate and representative certificates, apply for relevant procedures such as residence, employment, taxation, and foreign exchange registration.
变 更 登 记
Change Registration
代表机构登记事项发生变更，外国企业应当向登记机关申请变更登记。
If any registration item of a representative office changes, the foreign enterprise shall apply for change registration with the registration authority.
变更登记事项的，应当自登记事项发生变更之日起60日内申请变更登记。
For changes in registration items, an application for change registration shall be submitted within 60 days from the date of the change.
变更登记事项依照法律、行政法规或者国务院规定在登记前须经批准的，应当自批准之日起30日内申请变更登记。
If the change of a registration item requires prior approval under laws, administrative regulations, or State Council provisions, an application for change registration shall be submitted within 30 days from the date of approval.
代表机构驻在期限届满后继续从事业务活动的，外国企业应当在驻在期限届满前60日内向登记机关申请变更登记。
If a representative office continues to engage in business activities after the expiration of its term of presence, the foreign enterprise shall apply for change registration within 60 days before the expiration of the term of presence.
申请代表机构变更登记，应当提交代表机构变更登记申请书以及国务院市场监督管理部门规定提交的相关文件。
To apply for change registration of a representative office, an application for change registration of the representative office and relevant documents as specified by the market supervision and administration department of the State Council shall be submitted.
变更登记事项依照法律、行政法规或者国务院规定在登记前须经批准的，还应当提交有关批准文件。
If the change of a registration item requires prior approval under laws, administrative regulations, or State Council provisions, the relevant approval documents shall also be submitted.
登记机关应当自受理申请之日起10日内作出是否准予变更登记的决定。作出准予变更登记决定的，应当自作出决定之日起5日内换发登记证和代表证；作出不予变更登记决定的，应当自作出决定之日起5日内向申请人出具变更登记驳回通知书，说明不予变更登记的理由。
The registration authority shall, within 10 days from the date of accepting the application, decide whether to approve the change registration. If a decision is made to approve the change registration, a new registration certificate and representative certificates shall be issued within 5 days from the date of the decision; if a decision is made not to approve the change registration, a change registration rejection notice shall be issued to the applicant within 5 days from the date of the decision, stating the reasons for the rejection.
外国企业的有权签字人、企业责任形式、资本(资产)、经营范围以及代表发生变更的，外国企业应当自上述事项发生变更之日起60日内向登记机关备案。
If the authorized signatory, form of liability, capital (assets), business scope, or representatives of the foreign enterprise change, the foreign enterprise shall file a record with the registration authority within 60 days from the date of such change.
注 销 登 记
Cancellation Registration
有下列情形之一的，外国企业应当在下列事项发生之日起60日内向登记机关申请注销登记：
Under any of the following circumstances, the foreign enterprise shall apply for cancellation registration with the registration authority within 60 days from the date of occurrence of the following event:
(一)外国企业撤销代表机构；
(1) The foreign enterprise dissolves the representative office;
(二)代表机构驻在期限届满不再继续从事业务活动；
(2) The term of presence of the representative office expires and it no longer continues business activities;
(三)外国企业终止；
(3) The foreign enterprise terminates;
(四)代表机构依法被撤销批准或者责令关闭。
(4) The representative office's approval is revoked or it is ordered to close in accordance with the law.
外国企业申请代表机构注销登记，应当向登记机关提交下列文件：
A foreign enterprise applying for cancellation registration of a representative office shall submit the following documents to the registration authority:
(一)代表机构注销登记申请书；
(1) An application for cancellation registration of the representative office;
(二)代表机构税务登记注销证明；
(2) A certificate of cancellation of tax registration of the representative office;
(三)海关出具的相关事宜已清理完结或者该代表机构未办理相关手续的证明；
(3) A certificate issued by the customs confirming that relevant matters have been settled or that the representative office has not handled relevant procedures;
(四)国务院市场监督管理部门规定提交的其他文件。
(4) Other documents as specified by the market supervision and administration department of the State Council.
法律、行政法规或者国务院规定代表机构终止活动须经批准的，还应当提交有关批准文件。
If laws, administrative regulations, or State Council provisions require approval for the termination of a representative office, the relevant approval documents shall also be submitted.
登记机关应当自受理申请之日起10日内作出是否准予注销登记的决定。作出准予注销决定的，应当自作出决定之日起5日内出具准予注销通知书，收缴登记证和代表证；作出不予注销登记决定的，应当自作出决定之日起5日内向申请人出具注销登记驳回通知书，说明不予注销登记的理由。
The registration authority shall, within 10 days from the date of accepting the application, decide whether to approve the cancellation registration. If a decision is made to approve the cancellation, a cancellation approval notice shall be issued within 5 days from the date of the decision, and the registration certificate and representative certificates shall be collected; if a decision is made not to approve the cancellation registration, a cancellation registration rejection notice shall be issued to the applicant within 5 days from the date of the decision, stating the reasons for the rejection.
法 律 责 任
Legal Liability
未经登记，擅自设立代表机构或者从事代表机构业务活动的，由登记机关责令停止活动，处以5万元以上20万元以下的罚款。
If a representative office is established or engages in representative office business activities without registration, the registration authority shall order the cessation of activities and impose a fine of not less than 50,000 yuan but not more than 200,000 yuan.
代表机构违反本条例规定从事营利性活动的，由登记机关责令改正，没收违法所得，没收专门用于从事营利性活动的工具、设备、原材料、产品(商品)等财物，处以5万元以上50万元以下罚款；情节严重的，吊销登记证。
If a representative office engages in for-profit activities in violation of these Regulations, the registration authority shall order correction, confiscate illegal gains, confiscate tools, equipment, raw materials, products (goods), and other property specifically used for engaging in for-profit activities, and impose a fine of not less than 50,000 yuan but not more than 500,000 yuan; if the circumstances are serious, the registration certificate shall be canceled.
提交虚假材料或者采取其他欺诈手段隐瞒真实情况，取得代表机构登记或者备案的，由登记机关责令改正，对代表机构处以2万元以上20万元以下的罚款，对直接负责的主管人员和其他直接责任人员处以1000元以上1万元以下的罚款；情节严重的，由登记机关撤销登记或者吊销登记证，缴销代表证。
If false materials are submitted or other fraudulent means are used to conceal the true situation to obtain registration or filing of a representative office, the registration authority shall order correction, impose a fine of not less than 20,000 yuan but not more than 200,000 yuan on the representative office, and impose a fine of not less than 1,000 yuan but not more than 10,000 yuan on the directly responsible person in charge and other directly responsible persons; if the circumstances are serious, the registration authority shall revoke the registration or cancel the registration certificate and withdraw the representative certificates.
代表机构提交的年度报告隐瞒真实情况、弄虚作假的，由登记机关责令改正，对代表机构处以2万元以上20万元以下的罚款；情节严重的，吊销登记证。
If the annual report submitted by a representative office conceals the true situation or contains falsehoods, the registration authority shall order correction, impose a fine of not less than 20,000 yuan but not more than 200,000 yuan on the representative office; if the circumstances are serious, the registration certificate shall be canceled.
伪造、涂改、出租、出借、转让登记证、代表证的，由登记机关对代表机构处以1万元以上10万元以下的罚款；对直接负责的主管人员和其他直接责任人员处以1000元以上1万元以下的罚款；情节严重的，吊销登记证，缴销代表证。
If the registration certificate or representative certificates are forged, altered, leased, lent, or transferred, the registration authority shall impose a fine of not less than 10,000 yuan but not more than 100,000 yuan on the representative office; and impose a fine of not less than 1,000 yuan but not more than 10,000 yuan on the directly responsible person in charge and other directly responsible persons; if the circumstances are serious, the registration certificate shall be canceled and the representative certificates shall be withdrawn.
代表机构违反本条例第十四条规定从事业务活动以外活动的，由登记机关责令限期改正；逾期未改正的，处以1万元以上10万元以下的罚款；情节严重的，吊销登记证。
If a representative office engages in activities other than those specified in Article 14 of these Regulations, the registration authority shall order correction within a specified period; if correction is not made within the specified period, a fine of not less than 10,000 yuan but not more than 100,000 yuan shall be imposed; if the circumstances are serious, the registration certificate shall be canceled.
有下列情形之一的，由登记机关责令限期改正，处以1万元以上3万元以下的罚款；逾期未改正的，吊销登记证：
Under any of the following circumstances, the registration authority shall order correction within a specified period and impose a fine of not less than 10,000 yuan but not more than 30,000 yuan; if correction is not made within the specified period, the registration certificate shall be canceled:
(一)未依照本条例规定提交年度报告的；
(1) Failing to submit an annual report in accordance with these Regulations;
(二)未按照登记机关登记的名称从事业务活动的；
(2) Engaging in business activities under a name other than that registered with the registration authority;
(三)未按照中国政府有关部门要求调整驻在场所的；
(3) Failing to adjust the premises as required by relevant Chinese government departments;
(四)未依照本条例规定公告其设立、变更情况的；
(4) Failing to announce its establishment or changes in accordance with these Regulations;
(五)未依照本条例规定办理有关变更登记、注销登记或者备案的。
(5) Failing to handle relevant change registration, cancellation registration, or filing in accordance with these Regulations.
代表机构从事危害中国国家安全或者社会公共利益等严重违法活动的，由登记机关吊销登记证。
If a representative office engages in serious illegal activities such as harming China's national security or social public interests, the registration authority shall cancel its registration certificate.
代表机构违反本条例规定被撤销设立登记、吊销登记证，或者被中国政府有关部门依法责令关闭的，自被撤销、吊销或者责令关闭之日起5年内，设立该代表机构的外国企业不得在中国境内设立代表机构。
If a representative office's establishment registration is revoked, its registration certificate is canceled, or it is ordered to close by relevant Chinese government departments in accordance with the law, the foreign enterprise that established the representative office shall not establish a representative office within China within five years from the date of revocation, cancellation, or closure order.
登记机关及其工作人员滥用职权、玩忽职守、徇私舞弊，未依照本条例规定办理登记、查处违法行为，或者支持、包庇、纵容违法行为的，依法给予处分。
If a registration authority or its staff abuses power, neglects duties, or engages in favoritism and irregularities, failing to handle registration or investigate illegal acts in accordance with these Regulations, or supporting, covering up, or conniving illegal acts, administrative sanctions shall be imposed in accordance with the law.
违反本条例规定，构成违反治安管理行为的，依照《中华人民共和国治安管理处罚法》的规定予以处罚；构成犯罪的，依法追究刑事责任。
If a violation of these Regulations constitutes a violation of public security administration, punishment shall be imposed in accordance with the Law of the People's Republic of China on Public Security Administration Punishments; if a crime is constituted, criminal liability shall be pursued in accordance with the law.
附 则
Supplementary Provisions
本条例所称外国企业，是指依照外国法律在中国境外设立的营利性组织。
For the purposes of these Regulations, the term "foreign enterprise" means a for-profit organization established outside China in accordance with foreign laws.
代表机构登记的收费项目依照国务院财政部门、价格主管部门的有关规定执行，代表机构登记的收费标准依照国务院价格主管部门、财政部门的有关规定执行。
The charging items for representative office registration shall be implemented in accordance with the relevant provisions of the finance department and the price department of the State Council, and the charging standards for representative office registration shall be implemented in accordance with the relevant provisions of the price department and the finance department of the State Council.
香港特别行政区、澳门特别行政区和台湾地区企业在中国境内设立代表机构的，参照本条例规定进行登记管理。
Enterprises from the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and the Taiwan region that establish representative offices within China shall be registered and managed by reference to these Regulations.
本条例自2011年3月1日起施行。1983年3月5日经国务院批准，1983年3月15日原国家工商行政管理局发布的《关于外国企业常驻代表机构登记管理办法》同时废止。
These Regulations shall come into effect on March 1, 2011. The Measures for the Registration and Administration of Resident Representative Offices of Foreign Enterprises, approved by the State Council on March 5, 1983, and promulgated by the former State Administration for Industry and Commerce on March 15, 1983, shall be simultaneously abolished.
