为了明确经营者集中的申报标准，根据《中华人民共和国反垄断法》，制定本规定。
These Provisions are formulated in accordance with the Anti-Monopoly Law of the People's Republic of China for the purpose of specifying the standards for notification of concentrations of undertakings.
经营者集中是指下列情形：
A concentration of undertakings means any of the following circumstances:
(一)经营者合并；
(1) Merger of undertakings;
(二)经营者通过取得股权或者资产的方式取得对其他经营者的控制权；
(2) Acquisition by an undertaking of control over other undertakings by acquiring equity or assets;
(三)经营者通过合同等方式取得对其他经营者的控制权或者能够对其他经营者施加决定性影响。
(3) Acquisition by an undertaking of control over other undertakings, or the ability to exercise decisive influence over other undertakings, through contracts or other means.
经营者集中达到下列标准之一的，经营者应当事先向国务院反垄断执法机构申报，未申报的不得实施集中：
Where a concentration of undertakings reaches any of the following thresholds, the undertakings shall notify the anti-monopoly enforcement authority under the State Council in advance; no concentration may be implemented without such notification:
(一)参与集中的所有经营者上一会计年度在全球范围内的营业额合计超过120亿元人民币，并且其中至少两个经营者上一会计年度在中国境内的营业额均超过8亿元人民币；
(1) The combined worldwide turnover of all undertakings participating in the concentration in the preceding accounting year exceeds RMB 12 billion, and the turnover within China of each of at least two of such undertakings in the preceding accounting year exceeds RMB 800 million;
(二)参与集中的所有经营者上一会计年度在中国境内的营业额合计超过40亿元人民币，并且其中至少两个经营者上一会计年度在中国境内的营业额均超过8亿元人民币。
(2) The combined turnover within China of all undertakings participating in the concentration in the preceding accounting year exceeds RMB 4 billion, and the turnover within China of each of at least two of such undertakings in the preceding accounting year exceeds RMB 800 million.
营业额的计算，应当考虑银行、保险、证券、期货等特殊行业、领域的实际情况，具体办法由国务院反垄断执法机构会同国务院有关部门制定。
The calculation of turnover shall take into account the actual circumstances of special industries and sectors such as banking, insurance, securities, and futures. Specific measures shall be formulated by the anti-monopoly enforcement authority under the State Council jointly with the relevant departments under the State Council.
经营者集中未达到本规定第三条规定的申报标准，但有证据证明该经营者集中具有或者可能具有排除、限制竞争效果的，国务院反垄断执法机构可以要求经营者申报。
Where a concentration of undertakings does not reach the notification thresholds specified in Article 3 of these Provisions, but there is evidence that the concentration has or may have the effect of eliminating or restricting competition, the anti-monopoly enforcement authority under the State Council may require the undertakings to make a notification.
经营者未依照本规定第三条和第四条规定进行申报的，国务院反垄断执法机构应当依法进行调查。
Where an undertaking fails to make a notification in accordance with Articles 3 and 4 of these Provisions, the anti-monopoly enforcement authority under the State Council shall conduct an investigation in accordance with the law.
国务院反垄断执法机构应当根据经济发展情况，对本规定确定的申报标准的实施情况进行评估。
The anti-monopoly enforcement authority under the State Council shall, based on economic development, assess the implementation of the notification standards specified in these Provisions.
本规定自公布之日起施行。
These Provisions shall come into force as of the date of promulgation.
