Provisions on the Administration of International Freight Forwarding Industry

为了规范国际货物运输代理行为，保障进出口货物收货人、发货人和国际货物运输代理企业的合法权益，促进对外贸易的发展，制定本规定。

These Provisions are formulated to regulate international freight forwarding activities, protect the legitimate rights and interests of consignees, consignors of import and export goods, and international freight forwarding enterprises, and promote the development of foreign trade.

本规定所称国际货物运输代理业，是指接受进出口货物收货人、发货人的委托，以委托人的名义或者以自己的名义，为委托人办理国际货物运输及相关业务并收取服务报酬的行业。

For the purposes of these Provisions, the term 'international freight forwarding industry' refers to the industry that accepts the entrustment of consignees and consignors of import and export goods, handles international freight and related business on behalf of the principal or in its own name, and collects service fees.

国际货物运输代理企业必须依法取得中华人民共和国企业法人资格。

An international freight forwarding enterprise must legally obtain the status of a Chinese enterprise legal person.

国务院对外贸易经济合作主管部门负责对全国的国际货物运输代理业实施监督管理。

The competent department of foreign trade and economic cooperation under the State Council shall be responsible for the supervision and administration of the international freight forwarding industry nationwide.

省、自治区、直辖市和经济特区的人民政府对外经济贸易主管部门(以下简称地方对外贸易主管部门)依照本规定，在国务院对外贸易经济合作主管部门授权的范围内，负责对本行政区域内的国际货物运输代理业实施监督管理。

The competent departments of foreign trade and economic cooperation of the people's governments of provinces, autonomous regions, municipalities directly under the Central Government, and special economic zones (hereinafter referred to as local competent departments of foreign trade) shall, in accordance with these Provisions and within the scope authorized by the competent department of foreign trade and economic cooperation under the State Council, be responsible for the supervision and administration of the international freight forwarding industry within their respective administrative regions.

对国际货物运输代理业实施监督管理，应当遵循下列原则：

The supervision and administration of the international freight forwarding industry shall follow the following principles:

(一)适应对外贸易发展的需要，促进国际货物运输代理业的合理布局；

(1) Adapt to the needs of foreign trade development and promote the rational distribution of the international freight forwarding industry;

(二)保护公平竞争，促进国际货物运输代理业服务质量的提高。

(2) Protect fair competition and promote the improvement of service quality in the international freight forwarding industry.

从事国际货物运输代理业务的企业，应当遵守中华人民共和国的法律、行政法规、接受有关行业主管机关依照有关法律、行政法规规定实施的监督管理。

Enterprises engaged in international freight forwarding business shall abide by the laws and administrative regulations of the People's Republic of China and accept the supervision and administration implemented by relevant competent authorities in accordance with relevant laws and administrative regulations.

设立国际货物运输代理企业，根据其行业特点，应当具备下列条件：

To establish an international freight forwarding enterprise, the following conditions shall be met based on the characteristics of the industry:

(一)有与其从事的国际货物运输代理业务相适应的专业人员；

(1) Have professional personnel suitable for the international freight forwarding business it engages in;

(二)有固定的营业场所和必要的营业设施；

(2) Have a fixed business premises and necessary business facilities;

(三)有稳定的进出口货源市场。

(3) Have a stable source market for import and export goods.

国际货物运输代理企业的注册资本最低限额应当符合下列要求：

The minimum registered capital of an international freight forwarding enterprise shall meet the following requirements:

(一)经营海上国际货物运输代理业务的，注册资本最低限额为500万元人民币；

(1) For operating maritime international freight forwarding business, the minimum registered capital is RMB 5 million;

(二)经营航空国际货物运输代理业务的，注册资本最低限额为300万元人民币；

(2) For operating air international freight forwarding business, the minimum registered capital is RMB 3 million;

(三)经营陆路国际货物运输代理业务或者国际快递业务的，注册资本最低限额为200万元人民币。

(3) For operating land international freight forwarding business or international express business, the minimum registered capital is RMB 2 million.

经营前款两项以上业务的，注册资本最低限额为其中最高一项的限额。

If operating two or more of the above businesses, the minimum registered capital shall be the highest limit among them.

国际货物运输代理企业每设立一个从事国际货物运输代理业务的分支机构，应当增加注册资本50万元。

For each branch established by an international freight forwarding enterprise to engage in international freight forwarding business, the registered capital shall be increased by RMB 500,000.

申请设立国际货物运输代理企业，申请人应当向拟设立国际货物运输代理企业所在地的地方对外贸易主管部门提出申请，由地方对外贸易主管部门提出意见后，转报国务院对外贸易经济合作主管部门审查批准。

To apply for the establishment of an international freight forwarding enterprise, the applicant shall submit an application to the local competent department of foreign trade where the proposed enterprise is to be located. The local competent department of foreign trade shall provide its opinion and then forward the application to the competent department of foreign trade and economic cooperation under the State Council for examination and approval.

国务院部门在北京的直属企业申请在北京设立国际货物运输代理企业的，可以直接向国务院对外贸易经济合作主管部门提出申请，由国务院对外贸易经济合作主管部门审查批准。

If a directly subordinate enterprise of a department of the State Council in Beijing applies to establish an international freight forwarding enterprise in Beijing, it may directly submit an application to the competent department of foreign trade and economic cooperation under the State Council, which shall examine and approve it.

申请设立国际货物运输代理企业，应当报送下列文件：

To apply for the establishment of an international freight forwarding enterprise, the following documents shall be submitted:

(一)申请书；

(1) A written application;

(二)企业章程草案；

(2) A draft of the enterprise's articles of association;

(三)负责人和主要业务人员的姓名、职务和身份证明；

(3) The names, positions, and identity certificates of the responsible persons and key business personnel;

(四)资信证明和营业设施情况；

(4) Creditworthiness certificates and information on business facilities;

(五)国务院对外贸易经济合作主管部门规定的其他文件。

(5) Other documents as required by the competent department of foreign trade and economic cooperation under the State Council.

地方对外贸易主管部门应当自收到申请设立国际货物运输代理企业的申请书和其他文件之日起45天内提出意见，并转报国务院对外贸易经济合作主管部门。

The local competent department of foreign trade shall, within 45 days from the date of receiving the application and other documents for the establishment of an international freight forwarding enterprise, provide its opinion and forward them to the competent department of foreign trade and economic cooperation under the State Council.

国务院对外贸易经济合作主管部门应当自收到申请设立国际货物运输代理企业的申请书和其他文件之日起45天内决定批准或者不批准；对批准设立的国际货物运输代理企业，颁发批准证书。

The competent department of foreign trade and economic cooperation under the State Council shall, within 45 days from the date of receiving the application and other documents for the establishment of an international freight forwarding enterprise, decide whether to approve or disapprove; for an approved international freight forwarding enterprise, an approval certificate shall be issued.

国际货物运输代理企业应当凭国务院对外贸易经济合作主管部门颁发的批准证书，依照有关法律、行政法规的规定，办理企业登记、税务登记手续。

An international freight forwarding enterprise shall, based on the approval certificate issued by the competent department of foreign trade and economic cooperation under the State Council, go through the procedures for enterprise registration and tax registration in accordance with relevant laws and administrative regulations.

申请人自收到批准证书之日起180天内无正当理由未开始营业的，国务院对外贸易经济合作主管部门应当撤销批准证书。

If the applicant fails to commence business within 180 days from the date of receiving the approval certificate without justifiable reasons, the competent department of foreign trade and economic cooperation under the State Council shall revoke the approval certificate.

批准证书的有效期为3年。

The validity period of the approval certificate is three years.

国际货物运输代理企业在批准证书有效期届满时，需要继续从事国际货物运输代理业务的，应当在批准证书有效期届满的30天前向国务院对外贸易经济合作主管部门申请换领批准证书。

If an international freight forwarding enterprise needs to continue engaging in international freight forwarding business upon the expiration of the validity period of the approval certificate, it shall apply to the competent department of foreign trade and economic cooperation under the State Council for a replacement approval certificate 30 days before the expiration of the validity period.

国际货物运输代理企业未依照前款规定申请换领批准证书的，其从事国际货物运输代理业务的资格自批准证书有效期届满时自动丧失。

If an international freight forwarding enterprise fails to apply for a replacement approval certificate in accordance with the preceding paragraph, its qualification to engage in international freight forwarding business shall be automatically lost upon the expiration of the validity period of the approval certificate.

国际货物运输代理企业终止营业，应当依照本规定第九条规定的设立申请批准程序，报告所在地的地方对外贸易主管部门或者国务院对外贸易经济合作主管部门并缴销批准证书。

If an international freight forwarding enterprise terminates its business, it shall, in accordance with the application and approval procedures for establishment as stipulated in Article 9 of these Provisions, report to the local competent department of foreign trade or the competent department of foreign trade and economic cooperation under the State Council and surrender the approval certificate.

国际货物运输代理企业申请设立从事国际货物运输代理业务的分支机构，应当依照本章规定的程序办理。

An international freight forwarding enterprise applying to establish a branch to engage in international freight forwarding business shall follow the procedures stipulated in this Chapter.

国际货物运输代理企业可以接受委托，代为办理下列部分或者全部业务：

An international freight forwarding enterprise may accept entrustment to handle the following part or all of the business on behalf of the principal:

(一)订舱、仓储；

(1) Booking space and warehousing;

(二)货物的监装、监卸，集装箱拼装拆箱；

(2) Supervision of loading and unloading of goods, container consolidation and deconsolidation;

(三)国际多式联运；

(3) International multimodal transport;

(四)国际快递，私人信函除外；

(4) International express delivery, excluding personal correspondence;

(五)报关、报检、报验、保险；

(5) Customs declaration, inspection, survey, and insurance;

(六)缮制有关单证，交付运费，结算、交付杂费；

(6) Preparation of relevant documents, payment of freight, settlement and payment of miscellaneous fees;

(七)其他国际货物运输代理业务。

(7) Other international freight forwarding business.

国际货物运输代理企业应当在批准的业务经营范围内，从事经营活动。从事前款有关业务，依照有关法律、行政法规的规定，需经有关主管机关注册的，还应当向有关主管机关注册。

An international freight forwarding enterprise shall engage in business activities within the approved business scope. If the business mentioned in the preceding paragraph requires registration with relevant competent authorities in accordance with relevant laws and administrative regulations, it shall also register with such authorities.

国际货物运输代理企业之间也可以相互委托办理本条第一款规定的业务。

International freight forwarding enterprises may also entrust each other to handle the business specified in the first paragraph of this Article.

国际货物运输代理企业应当遵循安全、迅速、准确、节省、方便的经营方针，为进出口货物的收货人、发货人提供服务。

An international freight forwarding enterprise shall follow the business policy of safety, speed, accuracy, economy, and convenience to provide services to consignees and consignors of import and export goods.

国际货物运输代理企业，必须依照国家有关规定确定收费标准，并在其营业地点予以公布。

An international freight forwarding enterprise must determine the fee standards in accordance with relevant state regulations and publish them at its business premises.

国际货物运输代理企业从事国际货物运输代理业务，必须使用经税务机关核准的发票。

An international freight forwarding enterprise engaged in international freight forwarding business must use invoices approved by tax authorities.

国际货物运输代理企业应当于每年3月底前，向其所在地的地方对外贸易主管部门报送上一年度的经营情况资料。

An international freight forwarding enterprise shall, before the end of March each year, submit the business operation information of the previous year to the local competent department of foreign trade where it is located.

国际货物运输代理企业不得有下列行为：

An international freight forwarding enterprise shall not engage in the following acts:

(一)以不正当竞争手段从事经营活动；

(1) Engaging in business activities through unfair competition means;

(二)出借、出租或者转让批准证书和有关国际货物运输代理业务单证。

(2) Lending, leasing, or transferring the approval certificate and relevant documents for international freight forwarding business.

国际货物运输代理企业违反本规定第十九条、第二十一条规定的，由国务院对外贸易经济合作主管部门予以警告并责令限期改正；未在限期内改正的，可以撤销其批准证书。

If an international freight forwarding enterprise violates the provisions of Articles 19 and 21 of these Provisions, the competent department of foreign trade and economic cooperation under the State Council shall issue a warning and order it to make corrections within a specified period; if it fails to make corrections within the specified period, its approval certificate may be revoked.

国际货物运输代理企业违反本规定第十七条第二款、第二十条、第二十二条规定的，由国务院对外贸易经济合作主管部门予以警告、责令停业整顿直至撤销其批准证书；工商行政管理、海关、税务等有关主管机关并可依照有关法律、行政法规的规定予以处罚。

If an international freight forwarding enterprise violates the provisions of Article 17, paragraph 2, Article 20, or Article 22 of these Provisions, the competent department of foreign trade and economic cooperation under the State Council shall issue a warning, order a suspension of business for rectification, or even revoke its approval certificate; the administrative authorities for industry and commerce, customs, taxation, and other relevant competent authorities may also impose penalties in accordance with relevant laws and administrative regulations.

违反本规定的规定，擅自从事本规定第十七条规定的国际货物运输代理业务的，由国务院对外贸易经济合作主管部门取缔非法经营活动，并由工商行政管理机关依照有关法律、行政法规的规定予以处罚。

If anyone, in violation of these Provisions, engages in the international freight forwarding business as specified in Article 17 of these Provisions without authorization, the competent department of foreign trade and economic cooperation under the State Council shall ban the illegal business activities, and the administrative authority for industry and commerce shall impose penalties in accordance with relevant laws and administrative regulations.

违反本规定，构成犯罪的，依法追究刑事责任。

If a violation of these Provisions constitutes a crime, criminal liability shall be pursued in accordance with the law.

国际货物运输代理企业可以依法设立国际货物运输代理业协会，协会依照其章程对会员进行协调指导，提供服务。

International freight forwarding enterprises may lawfully establish an international freight forwarding industry association, which shall coordinate and guide its members and provide services in accordance with its articles of association.

本规定自发布之日起施行。

These Provisions shall come into effect as of the date of promulgation.
