总则
General Provisions
为了加强对上海航运交易所的管理，维护航运交易秩序，促进水路货物运输业的发展，制定本规定。
These provisions are formulated to strengthen the administration of the Shanghai Shipping Exchange, maintain the order of shipping transactions, and promote the development of waterway cargo transportation.
上海航运交易所(以下简称航运交易所)是不以营利为目的，为航运业务提供交易场所、设施、信息的事业法人。
The Shanghai Shipping Exchange (hereinafter referred to as the Shipping Exchange) is a non-profit institution that provides trading venues, facilities, and information for shipping business.
国务院交通主管部门和上海市人民政府，依照本规定对航运交易所进行管理和监督。
The competent transportation department of the State Council and the Shanghai Municipal People's Government shall, in accordance with these provisions, administer and supervise the Shipping Exchange.
航运交易所应当提供公开、公平、公正的交易环境和便利的交易条件，保证航运交易的正常进行。
The Shipping Exchange shall provide an open, fair, and just trading environment and convenient trading conditions to ensure the normal conduct of shipping transactions.
组织机构
Organizational Structure
航运交易所实行理事会领导下的总裁负责制。
The Shipping Exchange implements a president responsibility system under the leadership of the board of directors.
理事会是航运交易所的权力机构。
The board of directors is the authority of the Shipping Exchange.
理事会由理事长一人、副理事长一至二人和理事五至七人组成，总人数为单数。理事会应当有二至三名会员理事。
The board of directors consists of one chairperson, one to two vice-chairpersons, and five to seven directors, with an odd total number. The board shall have two to three member directors.
理事长、副理事长由上海市人民政府和国务院交通主管部门共同任命。理事由理事长提名，上海市人民政府批准。
The chairperson and vice-chairpersons shall be jointly appointed by the Shanghai Municipal People's Government and the competent transportation department of the State Council. Directors shall be nominated by the chairperson and approved by the Shanghai Municipal People's Government.
理事会行使下列职权：
The board of directors exercises the following powers:
(一)制定航运交易所章程、交易规则及其他有关规定；
(1) Formulate the articles of association, trading rules, and other relevant regulations of the Shipping Exchange;
(二)审议航运交易所的工作计划和工作报告；
(2) Review the work plans and work reports of the Shipping Exchange;
(三)决定、处理航运交易所运作中的重大问题；
(3) Decide and handle major issues in the operation of the Shipping Exchange;
(四)聘任、解聘航运交易所总裁、副总裁；
(4) Appoint and dismiss the president and vice-presidents of the Shipping Exchange;
(五)决定取消会员资格。
(5) Decide on the revocation of membership.
理事会会议由理事长召集；理事长因故不能召集会议时，由其指定的副理事长代为召集。
Meetings of the board of directors shall be convened by the chairperson; if the chairperson is unable to convene the meeting for any reason, the vice-chairperson designated by the chairperson shall convene it on his/her behalf.
理事会会议的决议必须经理事会2/3以上成员表决同意。
Resolutions of board meetings must be approved by more than two-thirds of the board members.
航运交易所设总裁一人、副总裁若干人。
The Shipping Exchange shall have one president and several vice-presidents.
总裁由理事长从理事中提名，理事会聘任。副总裁由总裁提名，理事会聘任。
The president shall be nominated by the chairperson from among the directors and appointed by the board of directors. Vice-presidents shall be nominated by the president and appointed by the board of directors.
总裁是航运交易所的法定代表人，主持航运交易所的日常工作，对理事会负责。
The president is the legal representative of the Shipping Exchange, presides over the daily work of the Shipping Exchange, and is accountable to the board of directors.
会员
Membership
取得会员资格，应当具备下列条件：
To obtain membership, the following conditions must be met:
(一)具有中国法人资格的经营水路货物运输业务、水路货物运输代理业务、船舶代理业务和港口业务的企业及其他有关企业；
(1) Being an enterprise with Chinese legal person status engaged in waterway cargo transportation business, waterway cargo transportation agency business, ship agency business, and port business, as well as other related enterprises;
(二)遵守航运交易所章程；
(2) Comply with the articles of association of the shipping exchange;
(三)有良好的商业信誉。
(3) Have good commercial reputation.
外国企业申请取得会员资格的条件，由国务院交通主管部门另行规定。
The conditions for foreign enterprises to apply for membership shall be separately stipulated by the competent transport department of the State Council.
申请取得会员资格，应当经航运交易所审查批准，并按照航运交易所章程办理入会手续。
To apply for membership, approval by the shipping exchange after review is required, and the membership admission procedures shall be handled in accordance with the articles of association of the shipping exchange.
会员退会，应当按照航运交易所章程办理退会手续。
Members withdrawing from the exchange shall handle the withdrawal procedures in accordance with the articles of association of the shipping exchange.
会员分为正式会员和临时会员。
Members are divided into formal members and temporary members.
会员资格期限三个月以上的为正式会员，会员资格期限不超过三个月的为临时会员。
Those with a membership term of more than three months are formal members, and those with a membership term not exceeding three months are temporary members.
会员享有下列权利：
Members shall enjoy the following rights:
(一)对航运交易所的工作提出批评和建议；
(1) To raise criticisms and suggestions regarding the work of the shipping exchange;
(二)推荐会员理事和被推荐为会员理事；
(2) To recommend member directors and be recommended as a member director;
(三)在场内进行交易；
(3) To conduct transactions on the exchange floor;
(四)使用航运交易所提供的设施；
(4) To use facilities provided by the shipping exchange;
(五)获取航运交易所提供的信息。
(5) To obtain information provided by the shipping exchange.
前款第(二)项规定不适用于临时会员。
The provision in item (2) of the preceding paragraph does not apply to temporary members.
会员应当履行下列义务：
Members shall fulfill the following obligations:
(一)遵守航运交易所章程和交易规则；
(1) Comply with the articles of association and trading rules of the shipping exchange;
(二)按时缴纳会费；
(2) Pay membership fees on time;
(三)如实向航运交易所提供本企业与航运交易有关的价格及其他信息；
(3) Truthfully provide the shipping exchange with price and other information related to shipping transactions of the enterprise;
(四)不得向新闻媒介及公众泄露或者传播从航运交易所获取的航运信息；
(4) Shall not disclose or disseminate shipping information obtained from the shipping exchange to the news media or the public;
(五)在航运交易中接受航运交易所的管理和监督。
(5) Accept the management and supervision of the shipping exchange in shipping transactions.
前款第(三)项规定的信息，不包括会员的商业秘密。
The information specified in item (3) of the preceding paragraph does not include the member's trade secrets.
会员可以通过会员会议对航运交易所的工作提出批评和建议。
Members may raise criticisms and suggestions regarding the work of the shipping exchange through member meetings.
经2/3以上的会员提议，可以召开会员会议。
A member meeting may be convened upon the proposal of more than two-thirds of the members.
会员在航运交易所内从事交易的人员为出市代表，出市代表须经航运交易所培训。
The personnel engaged in transactions by members on the shipping exchange floor are floor representatives, who must be trained by the shipping exchange.
交易管理
Transaction Management
航运交易所的交易范围：
The trading scope of the shipping exchange:
(一)水路货物运输；
(1) Waterway cargo transport;
(二)港口业务；
(2) Port business;
(三)船舶租赁；
(3) Ship chartering;
(四)船舶买卖；
(4) Ship sale and purchase;
(五)国务院交通主管部门允许进场交易的其他航运业务。
(5) Other shipping business permitted by the competent transport department of the State Council.
会员的出市代表，只能代表本企业进行交易；但是，从事水路货物运输代理业务、船舶代理业务的会员除外。
The floor representative of a member may only represent its own enterprise in transactions, except for members engaged in waterway cargo transport agency or shipping agency business.
非会员企业可以委托从事水路货物运输代理或者船舶代理业务的会员代表本企业进场交易。
Non-member enterprises may entrust a member engaged in waterway cargo transport agency or shipping agency business to represent them in exchange transactions.
会员不得有下列行为：
Members shall not engage in the following acts:
(一)利用内幕信息进行交易或者利用从航运交易所获取的信息进行场外交易；
(1) Using inside information for trading or using information obtained from the shipping exchange for off-exchange trading;
(二)制造或者散布虚假信息或者以其他手段扰乱交易秩序；
(2) Creating or disseminating false information or using other means to disrupt trading order;
(三)超越经营范围交易；
(3) Trading beyond the scope of business;
(四)法律、法规禁止的其他行为。
(4) Other acts prohibited by laws and regulations.
以竞价方式进行交易和以协商方式进行船舶买卖交易的，交易双方应当向航运交易所提供信用保证。
For transactions conducted by competitive bidding and for ship sale and purchase transactions conducted by negotiation, both parties shall provide credit guarantees to the shipping exchange.
从事国际班轮运输的会员应当将本企业的运价报航运交易所备案。
Members engaged in international liner shipping shall report their freight rates to the shipping exchange for record.
交易双方成交后，应当向航运交易所缴纳手续费。
After a transaction is concluded, both parties shall pay handling fees to the shipping exchange.
手续费的标准由航运交易所提出方案，报上海市人民政府交通主管部门会同物价主管部门批准。
The standard for handling fees shall be proposed by the shipping exchange and submitted to the competent transport department of the Shanghai Municipal People's Government for approval jointly with the price authority.
除国家另有规定外，航运交易所内的交易价格由交易双方自主决定。
Unless otherwise provided by the state, transaction prices within the shipping exchange shall be independently determined by the parties.
航运交易所可以制定交易指导价格；在交易价格暴涨或者暴跌时，航运交易所可以限定最高价或者最低价，必要时可以宣布暂停交易。
The shipping exchange may set guiding prices; when transaction prices surge or plummet, the shipping exchange may set maximum or minimum prices, and may declare a trading suspension when necessary.
航运交易所应当及时、准确地向会员发布航运交易信息。
The shipping exchange shall promptly and accurately publish shipping trading information to its members.
航运交易所工作人员应当廉洁自律、奉公守法，不得以任何方式从航运交易所会员或者其他有关单位获取利益，不得泄露内幕信息。
Staff of the shipping exchange shall be honest, self-disciplined, and law-abiding, and shall not obtain benefits from members or other relevant entities in any manner, nor disclose inside information.
因突发事件导致航运交易所停市时，理事会应当及时向上海市人民政府和国务院交通主管部门报告。
When a sudden event causes the shipping exchange to suspend trading, the board of directors shall promptly report to the Shanghai Municipal People's Government and the competent transport department of the State Council.
会员和出市代表违反本规定、航运交易所章程和交易规则的，航运交易所有权责令当事人停止违法行为，并可以视情节给予警告、暂停进场交易或者取消会员资格的处理。
If a member or floor representative violates these provisions, the shipping exchange's articles of association, or trading rules, the shipping exchange has the authority to order the violator to cease the illegal act, and may, depending on the circumstances, issue a warning, suspend floor trading, or revoke membership.
争议处理与法律责任
Dispute Resolution and Legal Liability
交易双方在交易过程中发生争议，可以自行协商解决或者申请航运交易所调解，也可以依照有关法律、行政法规的规定申请仲裁或者提起诉讼。
If a dispute arises between the parties during a transaction, they may resolve it through negotiation, apply for mediation by the shipping exchange, or apply for arbitration or initiate litigation in accordance with relevant laws and administrative regulations.
会员有本规定第二十条第(一)、(二)项所列行为之一的，由上海市人民政府交通主管部门根据不同情况给予警告、没收违法所得；情节严重的，并处2万元以下的罚款。
If a member commits any of the acts listed in Article 20, items (1) or (2), the competent transport department of the Shanghai Municipal People's Government shall, depending on the circumstances, issue a warning, confiscate illegal gains; if the circumstances are serious, concurrently impose a fine of not more than 20,000 yuan.
会员有本规定第二十条第(三)、(四)项所列行为之一的，由有关部门依照有关法律、法规予以处罚。
If a member commits any of the acts listed in Article 20, items (3) or (4), the relevant department shall impose penalties in accordance with relevant laws and regulations.
违反本规定第二十二条规定，不将运价报备案或者不执行报备案的运价的，由上海市人民政府交通主管部门根据情节给予警告、责令停开航线，处5万元以下的罚款。
If a party violates Article 22 by failing to file freight rates or failing to implement filed freight rates, the competent transport department of the Shanghai Municipal People's Government shall, depending on the circumstances, issue a warning, order the suspension of the shipping route, and impose a fine of not more than 50,000 yuan.
航运交易所违反本规定，接收不符合会员条件的企业入会的，随意开除会员的，或者明知会员超经营范围从事交易而不予制止的，由国务院交通主管部门给予警告；情节严重的，处2万元以下的罚款。
If the shipping exchange violates these Provisions by admitting an enterprise that does not meet the membership conditions, arbitrarily expelling a member, or knowingly allowing a member to engage in transactions beyond its business scope without stopping it, the competent transport department of the State Council shall issue a warning; if the circumstances are serious, impose a fine of not more than 20,000 yuan.
航运交易所违反本规定第十七条规定，擅自扩大交易范围的，由国务院交通主管部门给予警告；情节严重的，处5万元以下的罚款。
If the shipping exchange violates Article 17 of these Provisions by arbitrarily expanding the scope of transactions, the competent transport department of the State Council shall issue a warning; if the circumstances are serious, impose a fine of not more than 50,000 yuan.
航运交易所违反本规定第二十七条规定，停市时不报告的，由国务院交通主管部门处2万元以下的罚款。
If the shipping exchange violates Article 27 of these Provisions by failing to report when suspending trading, the competent transport department of the State Council shall impose a fine of not more than 20,000 yuan.
航运交易所违反本规定，给会员造成经济损失的，应当依法承担赔偿责任。
If the shipping exchange violates these Provisions and causes economic losses to a member, it shall bear compensation liability in accordance with the law.
附则
Supplementary Provisions
本规定自发布之日起施行。
These Provisions shall come into force on the date of promulgation.
