总则
General Provisions
为了规范专利代理行为，保障委托人、专利代理机构和专利代理师的合法权益，维护专利代理活动的正常秩序，促进专利代理行业健康发展，根据《中华人民共和国专利法》，制定本条例。
These Regulations are formulated in accordance with the Patent Law of the People's Republic of China for the purposes of regulating patent agency activities, protecting the lawful rights and interests of clients, patent agencies and patent agents, maintaining the normal order of patent agency activities, and promoting the healthy development of the patent agency industry.
本条例所称专利代理，是指专利代理机构接受委托，以委托人的名义在代理权限范围内办理专利申请、宣告专利权无效等专利事务的行为。
For the purposes of these Regulations, "patent agency" refers to the act of a patent agency, upon acceptance of a mandate, handling patent affairs such as patent applications and requests for patent invalidation in the name of the client within the scope of the agency authority.
任何单位和个人可以自行在国内申请专利和办理其他专利事务，也可以委托依法设立的专利代理机构办理，法律另有规定的除外。
Any entity or individual may file a patent application and handle other patent affairs in China on its own, or may entrust a patent agency established in accordance with the law to handle such matters, unless otherwise provided by law.
专利代理机构应当按照委托人的委托办理专利事务。
A patent agency shall handle patent affairs in accordance with the mandate of the client.
专利代理机构和专利代理师执业应当遵守法律、行政法规，恪守职业道德、执业纪律，维护委托人的合法权益。
Patent agencies and patent agents shall comply with laws and administrative regulations, abide by professional ethics and practice discipline, and protect the lawful rights and interests of clients.
专利代理机构和专利代理师依法执业受法律保护。
Patent agencies and patent agents are protected by law when practicing in accordance with the law.
国务院专利行政部门负责全国的专利代理管理工作。
The patent administrative department under the State Council shall be responsible for the administration of patent agencies nationwide.
省、自治区、直辖市人民政府管理专利工作的部门负责本行政区域内的专利代理管理工作。
The departments in charge of patent affairs of the people's governments of provinces, autonomous regions, and municipalities directly under the Central Government shall be responsible for the administration of patent agencies within their respective administrative regions.
专利代理机构和专利代理师可以依法成立和参加专利代理行业组织。
Patent agencies and patent agents may establish and join patent agency industry organizations in accordance with the law.
专利代理行业组织应当制定专利代理行业自律规范。专利代理行业自律规范不得与法律、行政法规相抵触。
Patent agency industry organizations shall formulate self-regulatory rules for the patent agency industry. Such self-regulatory rules shall not conflict with laws and administrative regulations.
国务院专利行政部门依法对专利代理行业组织进行监督、指导。
The patent administrative department under the State Council shall supervise and guide patent agency industry organizations in accordance with the law.
专利代理机构和专利代理师
Patent Agencies and Patent Agents
专利代理机构的组织形式应当为合伙企业、有限责任公司等。
The organizational form of a patent agency shall be a partnership, a limited liability company, or the like.
合伙企业、有限责任公司形式的专利代理机构从事专利代理业务应当具备下列条件：
A patent agency in the form of a partnership or a limited liability company engaging in patent agency business shall meet the following conditions:
(一)有符合法律、行政法规规定的专利代理机构名称；
(1) Having a name for the patent agency that complies with laws and administrative regulations;
(二)有书面合伙协议或者公司章程；
(2) Having a written partnership agreement or articles of association;
(三)有独立的经营场所；
(3) Having an independent business premises;
(四)合伙人、股东符合国家有关规定。
(4) The partners or shareholders meet the relevant provisions of the state.
从事专利代理业务，应当向国务院专利行政部门提出申请，提交有关材料，取得专利代理机构执业许可证。国务院专利行政部门应当自受理申请之日起20日内作出是否颁发专利代理机构执业许可证的决定。
To engage in patent agency business, an application shall be submitted to the patent administrative department under the State Council with relevant materials to obtain a patent agency practice license. The patent administrative department under the State Council shall make a decision on whether to issue the patent agency practice license within 20 days from the date of accepting the application.
专利代理机构合伙人、股东或者法定代表人等事项发生变化的，应当办理变更手续。
If matters such as the partners, shareholders, or legal representative of a patent agency change, the change procedures shall be completed.
具有高等院校理工科专业专科以上学历的中国公民可以参加全国专利代理师资格考试；考试合格的，由国务院专利行政部门颁发专利代理师资格证。专利代理师资格考试办法由国务院专利行政部门制定。
Chinese citizens with a college degree or above in science or engineering from an institution of higher education may take the national patent agent qualification examination; those who pass the examination shall be issued a patent agent qualification certificate by the patent administrative department under the State Council. The measures for the patent agent qualification examination shall be formulated by the patent administrative department under the State Council.
专利代理师执业应当取得专利代理师资格证，在专利代理机构实习满1年，并在一家专利代理机构从业。
To practice as a patent agent, one shall obtain a patent agent qualification certificate, complete an internship of at least one year at a patent agency, and work in one patent agency.
专利代理师首次执业，应当自执业之日起30日内向专利代理机构所在地省、自治区、直辖市人民政府管理专利工作的部门备案。
A patent agent who practices for the first time shall, within 30 days from the date of commencing practice, file a record with the department in charge of patent affairs of the people's government of the province, autonomous region, or municipality directly under the Central Government where the patent agency is located.
省、自治区、直辖市人民政府管理专利工作的部门应当为专利代理师通过互联网备案提供方便。
The department in charge of patent affairs of the people's government of the province, autonomous region, or municipality directly under the Central Government shall facilitate the online filing of records by patent agents.
专利代理执业
Patent Agency Practice
专利代理机构可以接受委托，代理专利申请、宣告专利权无效、转让专利申请权或者专利权以及订立专利实施许可合同等专利事务，也可以应当事人要求提供专利事务方面的咨询。
A patent agency may accept mandates to handle patent affairs such as patent applications, requests for patent invalidation, assignment of patent application rights or patent rights, and conclusion of patent implementation license contracts, and may also provide consultation on patent affairs at the request of the parties.
专利代理机构接受委托，应当与委托人订立书面委托合同。专利代理机构接受委托后，不得就同一专利申请或者专利权的事务接受有利益冲突的其他当事人的委托。
When accepting a mandate, a patent agency shall enter into a written mandate contract with the client. After accepting a mandate, the patent agency shall not accept the mandate of another party with a conflict of interest regarding the same patent application or patent matter.
专利代理机构应当指派在本机构执业的专利代理师承办专利代理业务，指派的专利代理师本人及其近亲属不得与其承办的专利代理业务有利益冲突。
A patent agency shall assign a patent agent practicing in the agency to undertake the patent agency business. The assigned patent agent and his or her close relatives shall not have a conflict of interest with the patent agency business undertaken.
专利代理机构解散或者被撤销、吊销执业许可证的，应当妥善处理各种尚未办结的专利代理业务。
If a patent agency is dissolved or its practice license is revoked or cancelled, it shall properly handle all pending patent agency business.
专利代理师应当根据专利代理机构的指派承办专利代理业务，不得自行接受委托。
A patent agent shall undertake patent agency business as assigned by the patent agency and shall not accept mandates on his or her own.
专利代理师不得同时在两个以上专利代理机构从事专利代理业务。
A patent agent shall not engage in patent agency business in two or more patent agencies simultaneously.
专利代理师对其签名办理的专利代理业务负责。
A patent agent shall be responsible for the patent agency business signed by him or her.
专利代理机构和专利代理师对其在执业过程中了解的发明创造的内容，除专利申请已经公布或者公告的以外，负有保守秘密的义务。
Patent agencies and patent agents have the obligation to keep confidential the contents of inventions and creations learned during practice, except those that have been published or announced in patent applications.
专利代理机构和专利代理师不得以自己的名义申请专利或者请求宣告专利权无效。
Patent agencies and patent agents shall not apply for patents or request patent invalidation in their own names.
国务院专利行政部门和地方人民政府管理专利工作的部门的工作人员离职后，在法律、行政法规规定的期限内不得从事专利代理工作。
Staff members of the patent administrative department under the State Council and the departments in charge of patent affairs of local people's governments shall not engage in patent agency work within the period prescribed by laws and administrative regulations after leaving their posts.
曾在国务院专利行政部门或者地方人民政府管理专利工作的部门任职的专利代理师，不得对其审查、审理或者处理过的专利申请或专利案件进行代理。
A patent agent who has previously served in the patent administrative department under the State Council or a department in charge of patent affairs of a local people's government shall not act as an agent for patent applications or patent cases that he or she has examined, tried, or handled.
专利代理机构收费应当遵循自愿、公平和诚实信用原则，兼顾经济效益和社会效益。
Patent agencies shall charge fees in accordance with the principles of voluntariness, fairness, and good faith, taking into account both economic and social benefits.
国家鼓励专利代理机构和专利代理师为小微企业以及无收入或者低收入的发明人、设计人提供专利代理援助服务。
The state encourages patent agencies and patent agents to provide patent agency assistance services to small and micro enterprises, as well as to inventors and designers with no or low income.
专利代理行业组织应当加强对会员的自律管理，组织开展专利代理师业务培训和职业道德、执业纪律教育，对违反行业自律规范的会员实行惩戒。
Patent agency industry organizations shall strengthen self-discipline management of their members, organize professional training and education on professional ethics and practice discipline for patent agents, and impose sanctions on members who violate self-regulatory rules.
国务院专利行政部门和省、自治区、直辖市人民政府管理专利工作的部门应当采取随机抽查等方式，对专利代理机构和专利代理师的执业活动进行检查、监督，发现违反本条例规定的，及时依法予以处理，并向社会公布检查、处理结果。检查不得收取任何费用。
The patent administrative department under the State Council and the departments in charge of patent affairs of the people's governments of provinces, autonomous regions, and municipalities directly under the Central Government shall conduct random inspections and other methods to inspect and supervise the practice activities of patent agencies and patent agents. If violations of these Regulations are found, they shall be dealt with in a timely manner in accordance with the law, and the inspection and handling results shall be made public. No fees shall be charged for inspections.
国务院专利行政部门和省、自治区、直辖市人民政府管理专利工作的部门应当加强专利代理公共信息发布，为公众了解专利代理机构经营情况、专利代理师执业情况提供查询服务。
The patent administrative department under the State Council and the departments in charge of patent affairs of the people's governments of provinces, autonomous regions, and municipalities directly under the Central Government shall strengthen the release of public information on patent agencies to provide inquiry services for the public to understand the business status of patent agencies and the practice status of patent agents.
法律责任
Legal Liability
以隐瞒真实情况、弄虚作假手段取得专利代理机构执业许可证、专利代理师资格证的，由国务院专利行政部门撤销专利代理机构执业许可证、专利代理师资格证。
If a patent agency practice license or patent agent qualification certificate is obtained by concealing the true situation or using fraudulent means, the patent administrative department under the State Council shall revoke the patent agency practice license or patent agent qualification certificate.
专利代理机构取得执业许可证后，因情况变化不再符合本条例规定的条件的，由国务院专利行政部门责令限期整改；逾期未改正或者整改不合格的，撤销执业许可证。
If, after obtaining the practice license, a patent agency no longer meets the conditions prescribed in these Regulations due to changes in circumstances, the patent administrative department under the State Council shall order it to rectify within a time limit; if it fails to rectify within the time limit or the rectification is not satisfactory, the practice license shall be revoked.
专利代理机构有下列行为之一的，由省、自治区、直辖市人民政府管理专利工作的部门责令限期改正，予以警告，可以处10万元以下的罚款；情节严重或者逾期未改正的，由国务院专利行政部门责令停止承接新的专利代理业务6个月至12个月，直至吊销专利代理机构执业许可证：
If a patent agency commits any of the following acts, the department in charge of patent affairs of the people's government of the province, autonomous region, or municipality directly under the Central Government shall order it to rectify within a time limit, issue a warning, and may impose a fine of not more than 100,000 yuan; if the circumstances are serious or it fails to rectify within the time limit, the patent administrative department under the State Council shall order it to stop accepting new patent agency business for 6 to 12 months, up to revoking the patent agency practice license:
(一)合伙人、股东或者法定代表人等事项发生变化未办理变更手续；
(1) Failing to complete the change procedures when matters such as partners, shareholders, or legal representative change;
(二)就同一专利申请或者专利权的事务接受有利益冲突的其他当事人的委托；
(2) Accepting the mandate of another party with a conflict of interest regarding the same patent application or patent matter;
(三)指派专利代理师承办与其本人或者其近亲属有利益冲突的专利代理业务；
(3) Assigning a patent agent to undertake patent agency business that has a conflict of interest with the patent agent or his or her close relatives;
(四)泄露委托人的发明创造内容，或者以自己的名义申请专利或请求宣告专利权无效；
(4) Disclosing the client's invention and creation content, or applying for a patent or requesting patent invalidation in its own name;
(五)疏于管理，造成严重后果。
(5) Negligent management resulting in serious consequences.
专业代理机构在执业过程中泄露委托人的发明创造内容，涉及泄露国家秘密、侵犯商业秘密的，或者向有关行政、司法机关的工作人员行贿，提供虚假证据的，依照有关法律、行政法规的规定承担法律责任；由国务院专利行政部门吊销专利代理机构执业许可证。
If a patent agency, during practice, discloses the client's invention and creation content involving state secrets or trade secrets, or bribes staff of relevant administrative or judicial organs, or provides false evidence, it shall bear legal liability in accordance with relevant laws and administrative regulations; the patent administrative department under the State Council shall revoke the patent agency practice license.
专利代理师有下列行为之一的，由省、自治区、直辖市人民政府管理专利工作的部门责令限期改正，予以警告，可以处5万元以下的罚款；情节严重或者逾期未改正的，由国务院专利行政部门责令停止承办新的专利代理业务6个月至12个月，直至吊销专利代理师资格证：
If a patent agent commits any of the following acts, the department in charge of patent affairs of the people's government of the province, autonomous region, or municipality directly under the Central Government shall order him or her to rectify within a time limit, issue a warning, and may impose a fine of not more than 50,000 yuan; if the circumstances are serious or he or she fails to rectify within the time limit, the patent administrative department under the State Council shall order him or her to stop accepting new patent agency business for 6 to 12 months, up to revoking the patent agent qualification certificate:
(一)未依照本条例规定进行备案；
(1) Failing to file a record in accordance with these Regulations;
(二)自行接受委托办理专利代理业务；
(2) Accepting a mandate on his or her own to handle patent agency business;
(三)同时在两个以上专利代理机构从事专利代理业务；
(3) Engaging in patent agency business in two or more patent agencies simultaneously;
(四)违反本条例规定对其审查、审理或者处理过的专利申请或专利案件进行代理；
(4) Acting as an agent for patent applications or patent cases that he or she has examined, tried, or handled in violation of these Regulations;
(五)泄露委托人的发明创造内容，或者以自己的名义申请专利或请求宣告专利权无效。
(5) Disclosing the client's invention and creation content, or applying for a patent or requesting patent invalidation in his or her own name.
专利代理师在执业过程中泄露委托人的发明创造内容，涉及泄露国家秘密、侵犯商业秘密的，或者向有关行政、司法机关的工作人员行贿，提供虚假证据的，依照有关法律、行政法规的规定承担法律责任；由国务院专利行政部门吊销专利代理师资格证。
If a patent agent, during practice, discloses the client's invention and creation content involving state secrets or trade secrets, or bribes staff of relevant administrative or judicial organs, or provides false evidence, he or she shall bear legal liability in accordance with relevant laws and administrative regulations; the patent administrative department under the State Council shall revoke the patent agent qualification certificate.
违反本条例规定擅自开展专利代理业务的，由省、自治区、直辖市人民政府管理专利工作的部门责令停止违法行为，没收违法所得，并处违法所得1倍以上5倍以下的罚款。
If anyone engages in patent agency business without authorization in violation of these Regulations, the department in charge of patent affairs of the people's government of the province, autonomous region, or municipality directly under the Central Government shall order the cessation of the illegal act, confiscate the illegal gains, and impose a fine of not less than one time but not more than five times the illegal gains.
国务院专利行政部门或者省、自治区、直辖市人民政府管理专利工作的部门的工作人员违反本条例规定，滥用职权、玩忽职守、徇私舞弊的，依法给予处分；构成犯罪的，依法追究刑事责任。
If a staff member of the patent administrative department under the State Council or the department in charge of patent affairs of a province, autonomous region, or municipality directly under the Central Government abuses power, neglects duties, or engages in malpractice for personal gain in violation of these Regulations, disciplinary action shall be taken in accordance with the law; if a crime is constituted, criminal liability shall be pursued in accordance with the law.
附则
Supplementary Provisions
外国专利代理机构在中华人民共和国境内设立常驻代表机构，须经国务院专利行政部门批准。
The establishment of a permanent representative office in the People's Republic of China by a foreign patent agency shall be subject to the approval of the patent administrative department under the State Council.
律师事务所可以依据《中华人民共和国律师法》、《中华人民共和国民事诉讼法》等法律、行政法规开展与专利有关的业务，但从事代理专利申请、宣告专利权无效业务应当遵守本条例规定，具体办法由国务院专利行政部门商国务院司法行政部门另行制定。
Law firms may conduct patent-related business in accordance with laws and administrative regulations such as the Lawyers Law of the People's Republic of China and the Civil Procedure Law of the People's Republic of China, but when engaging in the business of patent applications and requests for patent invalidation, they shall comply with these Regulations. Specific measures shall be formulated separately by the patent administrative department under the State Council in consultation with the judicial administrative department under the State Council.
代理国防专利事务的专利代理机构和专利代理师的管理办法，由国务院专利行政部门商国家国防专利机构主管机关另行制定。
The administrative measures for patent agencies and patent agents handling national defense patent affairs shall be formulated separately by the patent administrative department under the State Council in consultation with the competent authority of the national defense patent agency.
本条例自2019年3月1日起施行。
These Regulations shall come into force on March 1, 2019.
本条例施行前依法设立的专利代理机构以及依法执业的专利代理人，在本条例施行后可以继续以专利代理机构、专利代理师的名义开展专利代理业务。
Patent agencies established in accordance with the law and patent agents practicing in accordance with the law before the implementation of these Regulations may continue to conduct patent agency business in the name of patent agencies and patent agents after the implementation of these Regulations.
